ECD Sample Clauses

ECD. The ECD agrees to contract with the County to provide 911 call answering and dispatch services (“Services”) for the geographic area defined by the boundaries of the Town of Nolensville. County shall employ, or cause to be employed, such personnel as County deems appropriate and sufficient to perform all the Services. Such personnel shall be employees of County and shall be subject to the supervision of the County Mayor, or such other person or persons as the County Mayor may designate. Such personnel shall be subject to the rules, regulations and conditions of employment of County. The ECD shall pay to the County the Town Payment as part of its annual payment to the County for providing the Services.

ECD. OBC and the SAFT Group, collectively and individually, hereby release, acquit and forever discharge one another and their respective Affiliates, suppliers or customers, from any and all claims or liability for any claim which was or could have been asserted in this Civil Action, including without limitation infringement of any of the Licensed Patents, misuse of the Licensed Patents, and misappropriation of trade secrets, breach of confidentiality agreements and/or breach of fiduciary relationship in connection with information exchanged between ECD/OBC and any of the SAFT Group prior to the Effective Date of this Agreement.
ECD. OBC hereby grants to JSB and its Affiliates for the term of this Agreement under the Patents to make, have made, import, use, sell and otherwise dispose of Hydride Batteries and Hydride Batteries in the United States.
ECD. OBC warrant that they have the right to herein, and agree to indemnify and hold harmless the SAFT Group for any breach of this warranty. ECD/OBC further warrant that in hereunder, they are conveying to the herein all rights which ECD/OBC have the right to under any contracts with .

  • Collaboration Management Promptly after the Effective Date, each Party will appoint a person who will oversee day-to-day contact between the Parties for all matters related to the management of the Collaboration Activities in between meetings of the JSC and will have such other responsibilities as the Parties may agree in writing after the Effective Date.   • Interactive Data The interactive data in eXtensible Business Reporting Language included as an exhibit to the Registration Statement or incorporated by reference in the Registration Statement fairly presents the information called for in all material respects and has been prepared in accordance with the Commission’s rules and guidelines applicable thereto.

  • New Developments All ideas, inventions, discoveries, concepts, trade secrets, trademarks, service marks or other developments or improvements, whether patentable or not, conceived by Employee, alone or with others, at any time during the term of Employee’s employment, whether or not during working hours or on Employer’s premises, which are within the scope of or related to the business operations of Employer or its Affiliates (“New Developments”), shall be and remain the exclusive property of Employer. Employee agrees that any New Developments which, within one year after the cessation of employment with Employer, are made, disclosed, reduced to a tangible or written form or description or are reduced to practice by Employee and which are based upon, utilize or incorporate Information shall, as between Employee and Employer, be presumed to have been made during Employee’s employment by Employer. Employee further agrees that Employee will not, during the term of Employee’s employment with Employer, improperly use or disclose any proprietary information or trade secrets of any former employer or other person or entity and that Employee will not bring onto Employer premises any unpublished document or proprietary information belonging to any such employer, person or entity unless consented to in writing by such employer, person or entity. At all times during the term of this Agreement and thereafter, Employee shall do all things reasonably necessary to ensure ownership of such New Developments by Employer, including the execution of documents assigning and transferring to Employer all of Employee’s rights, title and interest in and to such New Developments and the execution of all documents required to enable Employer to file and obtain patents, trademarks, service marks and copyrights in the United States and foreign countries on any of such New Developments.

  • Subsequent Developments After the date of this Contract and until the Closing Date, Seller shall use best efforts to keep Buyer fully informed of all subsequent developments of which Seller has knowledge (“Subsequent Developments”) which would cause any of Seller’s representations or warranties contained in this Contract to be no longer accurate in any material respect.

  • Works Contractor must notify the Department or State of Florida of any publications, artwork, or other copyrightable works developed in connection with the Contract. All copyrights created or developed through performance of the Contract are owned solely by the State of Florida.

  • Creative Work The Executive agrees that all creative work and work product, including but not limited to all technology, business management tools, processes, software, patents, trademarks, and copyrights developed by the Executive during the term of this Agreement, regardless of when or where such work or work product was produced, constitutes work made for hire, all rights of which are owned by the Employer. The Executive hereby assigns to the Employer all rights, title, and interest, whether by way of copyrights, trade secret, trademark, patent, or otherwise, in all such work or work product, regardless of whether the same is subject to protection by patent, trademark, or copyright laws.

  • Derivative Works Constellation Beers shall acquire no ownership rights in the Licensed Intellectual Property or derivative works based thereon or any intellectual property deemed to be owned by Marcas Modelo or Modelo Group as a result of this Agreement. Constellation Beers shall, at any time requested by Marcas Modelo or Modelo Group, whether during or subsequent to the term hereof, disclaim in writing any such property interest or ownership in the Licensed Intellectual Property.
