Effect of Death, Disability. If the Grantee’s service as a Non-Employee Director should terminate because of death or Disability (as so defined for purposes of Section 409A(a)(2)(A)(ii) of the Code) prior to the first anniversary of the Date of Grant, the Deferred Shares granted hereby shall immediately become nonforfeitable.

In the event that the Executive Separates From Service prior to the expiration of the Service Period, then he (or his designated Beneficiary[ies]) shall be entitled to receive one of the following benefit amounts, depending on the circumstances of such Termination:
