Effect of Other Indemnities. The Lessee's obligations under the indemnities provided for in this Agreement shall be those of a primary obligor whether or not the Person indemnified shall also be indemnified with respect to the same matter under the terms of this Agreement, the Lease, the Indenture, the Trust Agreement, or any other document or instrument, and the Person seeking indemnification from the Lessee pursuant to any provision of this Agreement may proceed directly against the Lessee without first seeking to enforce any other right of indemnification.

Effect of Other Indemnities. Upon payment in full by or on behalf of Borrower of any indemnity provided for under this Agreement, Borrower, without any further action and to the full extent permitted by Law, will be subrogated to all rights and remedies of the Person indemnified (other than with respect to any of such Indemnitee’s insurance policies or in connection with any indemnity claim of such Indemnitee under Section 10.4) in respect of the matter as to which such indemnity was paid. Each Indemnitee will give such further assurances or agreements and cooperate with Borrower to permit Borrower to pursue such claims, to the extent reasonably requested by Borrower and at Borrower’s expense.

Effect of Other Indemnities. The indemnification obligations of Mortgagor under this Section 8.1 shall be those of a primary obligor whether or not an Indemnified Person shall also be indemnified with respect to the same matter under the terms of any other instrument, and the Indemnified Person seeking indemnification from Mortgagor pursuant to this Section 8 may proceed directly against Mortgagor without first seeking to enforce any other right of indemnification.

Old Dominion's obligations under the indemnities provided for in this Agreement shall be those of a primary obligor whether or not the Owner Participant shall also be indemnified with respect to the same matter under the terms of the Participation Agreement, the Trust Agreement or any other document or instrument, and the Owner Participant may in seeking indemnification from Old Dominion pursuant to any provisions of this Agreement proceed directly against Old Dominion without first seeking to enforce any other right of indemnification.

Effect of Other Indemnities. The Borrower's --------------------------- obligations under this Article 7 shall be those of a primary obligor whether or not the Person indemnified shall also be indemnified with respect to the same matter under the terms of this Agreement, or any other document or instrument or by any other Person and regardless of any other rights that Borrower may have against such Indemnitee pursuant to any Operative Agreement or otherwise, and the Person seeking indemnification from the Borrower pursuant to any provision of this Agreement may proceed directly against the Borrower without first seeking to enforce any other right of indemnification.
