Effect of this Fourth Amendment. Except as amended and/or modified by this Fourth Amendment, the Purchase Agreement is hereby ratified and confirmed and all other terms of the Purchase Agreement are and shall remain in full force and effect, unaltered and unchanged by this Fourth Amendment. In the event of any conflict between the provisions of this Fourth Amendment and the provisions of the Purchase Agreement, the provisions of this Fourth Amendment shall control. Whether or not specifically amended by this Fourth Amendment, all of the terms and provisions of the Purchase Agreement are hereby amended to the extent necessary to give effect to the purpose and intent of this Fourth Amendment.
Effect of this Fourth Amendment. The Loan Documents are hereby amended as required (and only as required) to give effect to the amendments expressly provided for in this Fourth Amendment. Each and every one of the Loan Documents shall be deemed to have been amended by this Fourth Amendment as if such Loan Documents had been specifically amended by separate instrument. This Fourth Amendment shall be a Loan Document, and all references in any Loan Document to the "Loan Documents" shall refer to the Loan Documents, as previously amended by the First, Second and Third Amendments to Loan Documents, and as further amended by this Fourth Amendment.
Effect of this Fourth Amendment. Except as modified or amended hereby, the terms and provisions of the Loan Agreement and the other Loan Documents shall remain in full force and effect and the obligations, liabilities and rights of the parties therein and thereunder shall remain unchanged. Nothing herein shall operate to release Borrower of its obligations under the Loan Agreement and such other Loan Documents.
Effect of this Fourth Amendment. Except as otherwise amended hereby, the terms of the Guarantee Agreement shall remain in full force and effect. The rights, privileges, duties and obligations of the parties under the Guarantee Agreement shall, except as modified by this Fourth Amendment, remain unchanged and in full force and effect. 3 4.
Effect of this Fourth Amendment. (a) Except as expressly set forth herein, this Fourth Amendment shall not by implication or otherwise limit, impair, constitute a waiver of (other than a waiver of any Default that might otherwise have occurred under Section 6.11 of the Credit Agreement as in effect prior to the Fourth Amendment Effective Date), or otherwise affect the rights and remedies of the Agents, the Issuing Banks and the Lenders under the Credit Agreement or any other Loan Document, and shall not alter, modify, amend or in any way affect any of the terms, conditions, obligations, covenants or agreements contained in the Credit Agreement or any other Loan Document, all of which are ratified and affirmed in all respects and shall continue in full force and effect (it being understood and agreed that all interest and fees accruing under the Credit Agreement in respect of periods prior to the Fourth Amendment Effective Date will accrue at the rates specified in the Credit Agreement prior to it being amended by this Fourth Amendment and be payable at the times provided in the Credit Agreement). Nothing herein shall be deemed to entitle any Loan Party to a consent to, or a waiver, amendment, modification or other change of, any of the terms, conditions, obligations, covenants or agreements contained in the Credit Agreement or any other Loan Document in similar or different circumstances.
Effect of this Fourth Amendment. Except as otherwise expressly stated herein, the CIT Forbearance Agreement, the CIT Credit Agreement and the other Loan Documents remain in full force and effect in accordance with their terms, as amended hereby. From and after the date hereof, the CIT Forbearance Agreement is deemed to be the CIT Forbearance Agreement, as amended hereby, and the parties agree that each of the terms of the CIT Forbearance Agreement will be strictly adhered to on and after the date hereof, except as expressly modified by this Fourth Amendment.
Effect of this Fourth Amendment. Except as modified pursuant to this Fourth Amendment and the letter agreement re: Notice of Events of Default and Waiver, dated March 24, 2016, delivered by Lender and acknowledged and agreed to by the Loan Parties (the “Waiver”), no other changes or modifications to the Credit Agreement or any other Loan Document are intended or implied and in all other respects the Credit Agreement and other Loan Documents are hereby specifically ratified, restated and confirmed by all parties hereto as of the date hereof. To the extent of conflict between the terms of this Fourth Amendment, the Credit Agreement or any other Loan Document, the terms of this Fourth Amendment shall control.
Effect of this Fourth Amendment. Except as expressly provided for in this Fourth Amendment, this Fourth Amendment shall not, in any way or manner, rescind, supplement or modify any existing term or provision of the Credit Agreement or any other Loan Document or waive or diminish any right or remedy of Lenders under the Credit Agreement, or any other Loan Document, at law in or equity, and to the extent not modified hereby, the terms and provisions of the Credit Agreement and each of the Loan Documents are expressly ratified and incorporated herein. All of the amendments set forth in this Fourth Amendment shall be effective as of the date hereof.
Effect of this Fourth Amendment. Except as modified pursuant hereto, no other changes or modifications to the Financing Agreements are intended or implied and in all other respects the Financing Agreements are hereby specifically ratified, restated and confirmed by all parties hereto as of the effective date hereof. To the extent of conflict between the terms of this Fourth Amendment and the other Financing Agreements, the terms of this Fourth Amendment shall control. The Loan Agreement and this Fourth Amendment shall be read and construed as one agreement.
Effect of this Fourth Amendment. Except as modified by this Fourth Amendment, the Contract is hereby ratified and confirmed and all other terms of the Contract shall remain in full force and effect, unaltered and unchanged by this Fourth Amendment. Ifthere is any unresolvable conflict between the provisions of this Fourth Amendment and the provisions of the Contract, the provisions ofthe Contract shall prevail. Whether or not specifically amended by this Fourth Amendment, all terms and provisions of the Contract are amended to the extent necessary to give effect to the purpose and intent of this Fourth Amendment.
