Effective Date; Conditions to Effectiveness. This Agreement shall become effective and binding upon each of the Parties upon the execution and delivery of this Agreement by each Party hereto.
Effective Date; Conditions to Effectiveness. This Amendment No. 9 shall become effective as of the date first written above on the first day (the "Effective Date") on which each of the following conditions is satisfied:
(a) The Managing Agent shall have received an officer's certificate, dated the Effective Date of this Amendment No. 9, in the form attached hereto as Schedule 1.
(b) This Amendment No. 9 shall have been duly executed and delivered by Sequa, SRC and the Required Purchasers.
Effective Date; Conditions to Effectiveness a. This Agreement shall become effective and binding upon the date (the “Effective Date”) on which the following conditions have been satisfied or waived in accordance with this Agreement:
i. all Required Parties shall have duly executed and delivered counterpart signature pages for this Agreement to each of the Parties (email to counsel thereto being sufficient); and
ii. the Seller shall have paid to Xxxx the advance payment set forth in Xxxx’x advance payment letter in the amount of $100,000.
b. To the extent that a signatory to this Agreement beneficially holds, as of the date hereof or thereafter, multiple 2025 Notes Claims and/or multiple 2026 Notes Claims, as applicable, such Party shall be deemed to have executed this Agreement in its respective capacity as a beneficial holder of all such 2025 Notes Claims or 2026 Notes Claims, as applicable, and this Agreement shall apply severally to such Party with respect to each such 2025 Notes Claim and each such 2026 Notes Claim, as applicable, beneficially held by such Party.
Effective Date; Conditions to Effectiveness. This Agreement shall be effective on the date (the "Effective Date") when each of the following documents has been executed and delivered, without qualification, by each of the parties thereto: (i) the Space Reduction Amendment; (ii) the CHW Lease; (iii) the Guaranty of Payment of Additional Rent; (iv) the Siebel Note; (v) the Siebel Note Letter of Credit; and (vi) the Guaranty Letter of Credit. Owner has not made any representation or agreement that it will cause any of the foregoing conditions to occur, nor shall Owner have any obligation to take or to refrain from taking any action, which would cause any of the foregoing conditions to occur. If satisfaction or fulfillment of any of the foregoing conditions requires the agreement or consent of any third party, Owner shall not have any liability to Siebel if such consent is not given or obtained.
Effective Date; Conditions to Effectiveness. Except as otherwise expressly set forth herein, all amendments to the Credit Agreement made herein shall become effective as of the date hereof; provided, however, that (a) the following shall have been executed and/or delivered to the Agent on or before such date, in form and substance satisfactory to the Banks, to-wit: (i) a Secretary's (or Assistant Secretary's) Certificate for the Borrower; and (ii) this Amendment; and (b) the fees prescribed in Section 9 below shall have been remitted to the Banks and the Agent.
Effective Date; Conditions to Effectiveness. This Fourth Amendment shall be deemed effective as of the date on which the Commission approves the amendment (“Fourth Amendment Effective Date”).

All amendments to the Credit Agreement made however, that the following shall have been executed and/or delivered to the Agent on or before such date, in form and substance satisfactory to the Banks, to-wit: (i) a Secretary's (or Assistant Secretary's) Certificate for the Borrower; and (ii) this Amendment.
Effective Date; Conditions to Effectiveness. This Agreement shall only become effective if the Share Exchange is consummated, in which case this Agreement shall become effective on the Closing Date. In the event of any rescission of the Share Exchange as contemplated in the Share Exchange Agreement, this Agreement shall be rescinded as well except that the Inflatables Shareholders' obligations under Section 11 hereof and any related provisions of Section 12 hereof shall remain in full force and effect and shall not be rescinded.
Effective Date; Conditions to Effectiveness. This Amendment No. 6 shall become effective as of the date first written above on the first day (the "Effective Date") on which each of the following conditions is satisfied:
(a) The Managing Agent shall have received an officer's certificate, dated the Effective Date, in the form attached hereto as Schedule 1;
(b) This Amendment No. 6 shall have been duly executed and delivered by SRC, Sequa and the Purchasers; and
(c) No material adverse change has occurred in respect of the Receivables or operating or financial condition of Sequa or SRC since December 31, 1994.
Effective Date; Conditions to Effectiveness. This Amendment No. 7 shall become effective as of the date first written above on the first day (the "Effective Date") on which each of the following conditions is satisfied:
(a) The Managing Agent shall have received an officer's certificate, dated the Effective Date of this Amendment No. 7, in the form attached hereto as Schedule 1.
(b) Sequa, SRC and the Originators shall have executed and delivered Amendment No. 3 to the Purchase and Sale Agreement in form and substance satisfactory to the Managing Agent.
(c) This Amendment No. 7 shall have been duly executed and delivered by Sequa, SRC and the Required Purchasers.
