ELECCIÓN DE XX XXX. Notwithstanding the place where this Contract may be executed by any of the parties hereto, subject to the sole exception that the choice of law specified in the ELEVENTH clause shall govern intellectual property matters to the extent necessary to effectuate the parties’ intent, the parties expressly agree that this Contract shall be interpreted and construed in accordance with the Roatan Common Law Code of Próspera ZEDE, Republic of Honduras, §§2-3-4-0-1-0-1001, et seq., and applicable Rules of Próspera ZEDE, without regard to conflict of laws doctrine, as published at xxxxx://xxxxx.xx/ from time to time. However, if legal or political instability, governmental action by any country, or any court or arbitral ruling precludes application to this Contract of any of the foregoing Rules of Próspera ZEDE under the authority of Articles 294, 303, and 329 of the Constitution of the Republic of Honduras, as adopted through Decreto Legislativo No. 236-2012, L.G. (published in La Gaceta on January 24, 2013), and ratified by Decreto Legislativo No. 9-2013 (published in La Gaceta on March 20th, 2013) or the ZEDE Organic Law, as adopted through Decreto Legislativo No. 120-2013 (published in La Gaceta on September 6th, 2013), then the parties hereby agree that this Contract and any related transaction shall be governed by the law of the State of Delaware (U.S.A.) as their choice of law on the stipulation that the foregoing Rules of Próspera ZEDE shall be deemed incorporated herein by reference and determinative of the parties’ rights, privileges, duties, and remedies under this Contract to the furthest extent permitted by Delaware (U.S.A.) law.
