Electronic Software Delivery. All SysKit Software is delivered electronically. Major Version Releases (Updates) Significant changes to the Software are available for customers who (a) have active Support and Upgrade Protection (Software Assurance), (b) purchase the license to upgrade, or (c) have a subscription that automatically includes Support and Upgrade Protection (Software Assurance). Major version releases are indicated by a change in the first number of the version’s numerical value (i.e., from 4.1.0 to 5.0 indicating a MAJOR version change). Eligible customers can download the major version releases in the Customer Portal. Care should be taken to follow instructions for updates (i.e., backing up any databases prior to updating as indicated in the release notes, blog or instructions for upgrading to major version releases). Minor Releases (Updates) Minor releases or updates are updates, bug fixes, feature enhancements or improvements, or other data relating to the Software (collectively, “updates”). Updates are made available at no additional charge to customers who have the right to use the Software. Minor releases are assigned unique version numbers (i.e., 4.1.2 and 4.1.3, etc.). All updates must be installed by the end-user via the download link in the Customer Portal. You understand that if you choose not to install the update, the Software may not perform properly. In some instances, an update may be required for functionality of the Software, and you must complete the installation in order to continue using the Software. A non-production license is defined as covering development, quality assurance, passive farms, or all farms that are not used for production purposes. Online Services Online services are defined as a website or IP address, or ancillary services rendered to you by SysKit to which you are being granted access under this agreement (i.e., Customer Portal, support tickets, live chat, billing accounts maintained by our ecommerce provider).

Electronic Software Delivery. With respect to all the Software licensed by Licensee hereunder, all Software updates delivered under ProPhoenix’s Support obligations under this Agreement or any programs or modules licensed by Licensee in the future, ProPhoenix shall deliver such Software, Enhancements, programs or modules via electronic software delivery over a secure VPN connection established between ProPhoenix and Licensee (“ESD”). ProPhoenix shall use commercially reasonable efforts to secure all file transfers via ESD. Licensee acknowledge that, despite such efforts by ProPhoenix to effect a secure file transfer, including using a non- public server and transferring by appointment only, there remains some level of risk of invasive activity by unknown third parties.

  • Delivery of Software 1. SAP will deliver the Software as described in the Documentation and the Price List and will also provide the appropriate license keys. With regard to the features, quality and functionality of the Software the product description in the Documentation and the Price List is solely decisive. SAP does not own any additional features, quality or functionality. Partner can, in particular, not assert any additional feature, quality or functionality from any public statements, publications or advertisements by SAP except to the extend SAP has expressly confirmed such additional feature, quality or functionality in writing. Any representation, warranty, undertaking or guarantee regarding additional features, quality or functionality is effective only if expressly confirmed by SAP’s management in writing.

  • Electronic Services We may provide electronic document delivery services for the delivery to you of all disclosures, statements, notices, contracts or agreements, receipts, modifications or amendments, and all other documentation regarding your membership, accounts, transactions, or other business you have with us (collectively referred to as "documents" or "documentation"). If you agree to receive such documentation electronically, you specifically agree and acknowledge that we may provide the documents electronically either by sending an e-mail with the text of the documents embedded in the text of the e- mail message or as an attachment contained within the e-mail, or by posting such documents on our website or on- line banking service and notifying you that the documents have been so posted. You have a right to request and receive a paper copy of these documents if that right is provided under applicable law. You may also withdraw your consent and revoke your agreement to receive the documents electronically. To request a paper copy or to revoke your consent, call, write, or e-mail us at the number and addresses provided on the Rates & Fees Schedule. If any of our e-mails are returned to us as undeliverable, we will change our delivery mode to paper format, and you will be required to re-apply for our electronic delivery service and to update your e-mail address accordingly. We may also offer electronic services such as on-line banking or on-line bill pay, which allow you to conduct transactions to and from your account(s) and to conduct other business with us electronically. You may be required to sign a separate agreement regarding these services and you will be subject to any on-line instructions, rules, agreements, and restrictions provided on the website(s) or provided to you at the time you open an account or enroll in these services. You may be required to be enrolled in our on-line banking service in order to enroll in our electronic document delivery service. Enrollment in, and use of, these electronic services does not relieve you of your duty to promptly examine your statements, checks, and other documentation for irregularities or discrepancies regarding your accounts in accordance with this and your other Agreements you have with us. Subject to applicable law, we may suspend some or all electronic services and access to your checking or other account(s) if you become delinquent on any of your loan or deposit obligations to us or you cause a loss to us. We shall not be liable to you in any regard in connection with such suspension of services.

  • Electronic Links The Participating Institutions and the Authorized Users may provide hyperlinks from the Participating Institutions’ and the Authorized Users’ web page(s) or website(s) to individual units of content within the Licensed Materials.

  • Electronic Devices No electronic devices that may hinder job performance or safety (especially cell phones), may be carried on employees’ person, or be used by employees during working hours.

  • Electronic Delivery The Company may, in its sole discretion, decide to deliver any documents related to current or future participation in the Plan by electronic means. The Participant hereby consents to receive such documents by electronic delivery and agrees to participate in the Plan through an on-line or electronic system established and maintained by the Company or a third party designated by the Company.

  • Electronic Backups Subrecipient shall ensure that all electronic information is protected by performing regular backups of automated files and databases and ensure the availability of information assets for continued business. Subrecipient shall ensure that all data, files, and backup files are encrypted.
