Elimination of Anti-social Forces. 1. The University and the Collaborator (in the case of a corporation, including its officers and employees) shall represent and warrant to the other party as set forth in the following Items:
Elimination of Anti-social Forces. (a) The Japanese Borrower and the other Loan Parties represent and warrant to the Yen Revolving Lenders that, as of the date of this Agreement, and as of the date of each Yen Revolving Loan as though made on said date, neither the Japanese Borrower nor any other Loan Party is, (i) an organized crime group (boryokudan), (ii) member of an organized crime group (boryokudan in), (iii) a person who was a member of an organized crime group during the past five (5) years, (iv) a sub member of an organized crime group (boryokudan junkoseiin), (v) a corporation related to an organized crime group (boryokudan kankeikigyo), (vi) a racketeer attempting to extort money from a company by threatening to cause trouble at the general stockholders' meeting (soukaiya), (vii) a racketeer attempting to extort money from a company by advocating social causes (shakaiundo tou hyobo goro), (viii) special intelligence organized crime group (tokushu chino boryoku shudan tou), or (ix) any other person or organization equivalent to any of the above (those set out in items (i) through (viii) shall be referred to as “Boryokudan Member Etc.”).
Elimination of Anti-social Forces. DigiCert and Partner each represents and warrants that it, its representatives, directors, officers or principal investors, or other persons or entities which substantially hold control over it do not now and will not in the future fall within any of the followings:
Elimination of Anti-social Forces. Renesas may terminate this Agreement at any time without any prior notification in the event that Licensee’s affiliates, employees, directors or officers are found to: (a) belong to, or be otherwise involved in, organized crime groups, racketeers or any other entity related to organized crime group (“Anti-Social Forces”); (b) provide funds, or provide services, to any Anti-Social Forces; (c) have any other relationship with any Anti-Social Forces; or (d) use threatening behavior or violence in business transactions, disseminate false information, employ fraudulent means or methods that obstruct the business operations of Renesas, or use any other behavior that is similar to these actions. Where this Agreement is terminated for a reason set out in this provision, Renesas is not responsible for any losses or damages suffered by Licensee as a result of such termination.
Elimination of Anti-social Forces. A. Each of SFDC and Supplier represents that, as of the Effective Date and during the term of the Purchasing Document: (i) each Party itself, its directors, officers, employees engaging in management, persons or entities which substantially hold control over it, or any equivalent thereof (collectively “Party or its Concerned Parties”) is not and has not been during the past five (5) years a Boryokudan (crimimal syndicatee), Boryokudan-in (member of Boryoku- xxx), Boryokudan-kankei-kigyo (Boryokudan-related company), Sokaiya (corporate racketeers), Shakaiundo- hyobogoro, Tokusyu-chino-boryokusyudan or any equivalent or a member of any equivalent (collectively, “Anti Social Forces”); (ii) the Party or its Concerned Parties do not and will not have any socially disapproved relationship with Anti-Social Forces; (iii) The Party or its Concerned Parties have not supplied any funds or provided any benefits to Anti-Social Forces and have not had any relationship with persons or entities which have supplied any funds or provided any benefits to Anti-Social Forces; (iv) the Party has not let the Anti-Social Forces use its name to enter into an agreement; and (v) the Party will not engage in the following acts against the other Party (for the Supplier, the other Party includes SFDC and its customers) by itself or using any third party: (1) make demand using violence; (2) make unjustified demands in excess of legal liability; (3) behave threateningly or act violently in the course of transactions; (4) obstruct the other Party’s business or damage the other Party’s credibility by spreading false information, or using fraudulent means or force; or (5) any equivalent of the above.
Elimination of Anti-social Forces. 1. Applicant and DEGICA represent and warrant to the other party that none of the following applies to it now or will apply to it in the future.
Elimination of Anti-social Forces. 1. Medirom and Kxxx hereby represent that it does not currently fall under any of the following items and hereby affirm that it does not fall under any of these items in the future:
Elimination of Anti-social Forces. 18.1 Wakamoto and Harrow each represent and warrant to the other party the following matters upon the Effective Date and for the future:
Elimination of Anti-social Forces. (1) Borrower represents that Borrower, Joint and Several Guarantor(s) and collateral provider(s) (including their officers or those that have substantive control over them, in this Article) do not and undertakes that they will not, fall under an organized crime group, a member of an organized crime group (including a person with respect to whom five years have not passed since the person ceased to be a member of an organized crime group), a sub-member of an organized crime group, a corporation related to an organized crime group or any other anti-social force (hereinafter referred to as “Anti-Social Forces”) or fall under any of the following items:
Elimination of Anti-social Forces. Customer represents and warrants that (i) Customer shall comply with all applicable laws, rules, ordinances, and regulations relating to Anti-Social Forces in Japan (collectively, “Anti- Social Forces Laws”); (ii) that Customer (including its employees, directors, officers, agents, affiliates, and subcontractors) is not and will never become any Anti-Social Forces or controlled by any Anti-Social Forces; (iii) that Customer does not conduct and will not conduct any activities restricted or prohibited under Anti-Social Forces Laws, including sharing with or making any payment to any Anti-Social Forces; and (iv) that NIJ is relying on this Customer’s warranty to execute and perform this Agreement with Customer. Customer agrees and permits NIJ to collect, disclose and deliver the information, data and materials of Customer requested by NIJ or known to NIJ to Japanese authorities in case Customer is suspected or proved to be Anti- Social Forces, regardless of whether NIJ has any confidentiality obligation or other restrictive obligations under the Agreement or other documents to which NIJ has committed. In the event that Customer breaches any of the foregoing, NIJ shall be entitled to take remedial actions, including immediate termination of this Agreement without any notice to Customer and without any liability or remedy to Customer, and/or claim for all losses and damages suffered by NIJ. For purpose of this section, Anti- Social Forces shall include “Boryokudan”,”Boryokudanin”, “Boryokudanjyunkouseiin”, “Boryokudankankeisha”, “Boryokudankankeikigyo”, “Sokaiya”, “Groups engaging in criminal activities under the pretext of conducting social campaigns or political activities”, and “Crime groups specialized in intellectual crimes”.
