Employment of Consultants. 1. The Borrower Association shall, not later than December 31, 19961998, carry out jointly with undertake a joint midterm review of the Project, during which they shall exchange views generally on all matters relating to the progress of the Project and the performance by the Borrower of its obligations under this Agreement; including, but not limited to: (i) an assessment of progress achieved in the execution of major construction contracts; (ii) an assessment of progress achieved in the implementation of the Strategic Plan; (iii) an assessment of the effectiveness of the Fund and, in particular, the size and adequacy thereof, in terms of its stated objective of achieving full and sustainable funding by year 2000; (iv) a review of technical and financial lessons drawn as a result of the monitoring exercise under Part B.2 of the Project, and proposed modifications to subsequent contracts or contract extensions; and (v) an assessment of the effectiveness of RWI, and proposed changes required to promote the achievement of its objectives.
(b) Not later than one month prior to such midterm review, the Borrower shall furnish to the Association, for its comments, a report, in such detail as the Association a mid-term review shall reasonably request, on the progress and status of the Project.
1(c) Following such midterm review, the Borrower shall act promptly and diligently, in order to take any corrective action deemed necessary to remedy any shortcoming noted in the implementation of the Project, or to implement such other measures as may have been agreed upon between the parties in furtherance of the objectives of the Project.

(b) engineering services for construction supervision of the Jatiluhur Dam remedial works.
3. In carrying out Part C of the Project, the Borrower shall:
(a) take measures to avoid or minimize involuntary resettlement of individuals;
(b) where displacement of individuals is unavoidable, the Borrower shall, before carrying out remedial works:
(i) prepare a resettlement plan for said individuals in accordance with policies, planning principles, institutional arrangements and design criteria agreed with the Bank, designed to improve the living standards of said individuals;
(ii) furnish the resettlement plan referred to in sub-paragraph
(i) hereof to the Bank for approval; and
(iii) take all measures necessary to ensure that said individuals shall be resettled in accordance with the resettlement plan approved by the Bank.
4. In carrying out the Project, the Borrower shall:
(a) not later than September 30 in each year, commencing November 30, 1994, prepare and furnish to the Bank for comments a work program and cost estimates of Project activities to be carried out during the following Fiscal Year; and, thereafter, carry out such work program taking into account the comments of the Bank thereon; and
(b) not later than December 31 in each year, commencing December 31, 1994, set up an HDM unit in RHD prepare and a planning cell in RRTD with adequate facilities and staff with qualifications and experience satisfactory furnish to the Association and thereafter maintain Bank for comments the budget proposals for the following Fiscal Year’s work program, taking into account the cost estimates for such unit and cell.
4. The Borrower shallwork program; and, for purposes of implementing Part D of thereafter, promptly finalize said budget taking into account the Project, appoint and thereafter retain the services of a Chief Resettlement Officer and supporting field staff in adequate numbers satisfactory to the Association, including inter alia three Resettlement Officers, one each for Rajshahi, Natore and SaidpurBank’s comments thereon.
5. The Borrower shall take all such measures, as shall be necessary, provide the vehicles required for the Project in accordance with a schedule and time table acceptable to mitigate any adverse impact the Bank.
6. In carrying out Part D.2 of the Project on Project, the environment, and Borrower shall, :
(a) not later than June 301, 1995, establish prepare and thereafter maintain an environmental unit in RHD.

The Borrower shall: (a) furnish to the Association annually a report on the implementation of the previous year’s work program in respect of RHD, (b) prepare and review with the Association by April 15 each year the proposed work program of RHD for the next year and an updated Road Master Plan for the next three years, and (c) make annual budgetary allocations to RHD in line with the requirements of the Road Master Plan.:
8. The Borrower shall: (a) not later than December 31April 1, 19961997, prepare, using establish a methodology agreed national dam safety regulatory agency with jurisdiction over all dams within the Association, an analysis of the adequacy of the structure and level of road user charges and review its findings and recommended actions with the AssociationBorrower’s territory; and (b) thereafter implement the agreed actions.

Employment of Consultants. 1. In order to assist the Borrower in carrying out the Project, the Borrower shall employ consultants whose qualifications, experience and terms and conditions of employment shall be satisfactory to the AssociationBank. Such consultants shall be selected in accordance with principles and procedures satisfactory to the Association Bank on the basis of the "Guidelines for the Use of Consultants by World Bank Borrowers and by the World Bank as Executing Agency" published by the Bank in August 1981 (the Consultants Consultant Guidelines). For complex, time-based assignments, the Borrower shall employ such consultants under contracts using the standard form of contract for consultants’ services issued by the Bank, with such modifications as shall have been agreed by the AssociationBank. Project management shall be the responsibility of the Project Director, a senior manager of the STS at the level of a Deputy Chairman of the STS. The Borrower Steering Committee shall appoint and thereafter retain an Institutional Review Committee to oversee the implementation of Part C have as permanent members relevant senior managers of the ProjectSTS, representatives of the regional and/or local offices of the STS, the Project Leader, and a representative of the MOF. The Steering Committee shall be responsible, inter alia, for reviewing and approving major Project proposals, approving allocation of Project resources, ensuring close integration of the Project in regular STS operations, and ensuring that the Project is fully responsive to the current and future needs of the STS.

In order to facilitate the carrying out of the Project in accordance with the provisions of Section 3.01 (a) of this Agreement, annual progress reports would be prepared for each of the components by the respective implementing agencies or divisions and would be consolidated by the PCU into an annual report highlighting problems encountered, achievements in relation to project implementation plan and goals, the status of procurement and construction, technical assistance accomplishments, expenditures by category (committed and made), budgetary allocations, disbursements and implementation plan for the following year. Such mid-term review shall, inter alia:
(a) determine overall implementation progress and ways of improving Project operations, for the achievement of the Project objectives;
(b) allow opportunity to effect changes in policy, which may be necessary upon experience during the initial Project execution period and effect mid-course adjustments, if necessary, in Project execution; and
(c) identify possible follow-up operations. For the purposes of implementation of the Project, the Borrower shall take or cause to be taken the following actions by the dates specified bellow:
1. By May 30, 1995, CHIA shall appoint consultants to review the results of the EU-PHARE exercise in Parnu County and by July 31, 1995, it shall decide on and adopt financial management and accounting systems addressed to the local insurance funds and providers, satisfactory to the Bank.
2. By July 1, 1995, MSA shall furnish to the Bank a program for health promotion and disease prevention, with operational rules, procedures financing and selection criteria satisfactory to the Bank.
3. By July 31, 1995, CHIA shall recruit a revenue collection specialist and a public information expert and by November 30, 1995, it shall submit to the Bank an action plan for implementing recommendations on financial management and accounting systems for local insurance funds and providers, on improvement of revenue collection and on a public information program for employees and enterprise owners.
4. By February 15, 1996, MSA shall submit to the Bank a report on the status of development of the accreditation, licensure and quality assurance systems with recommendations for nation- wide application.

The Borrower shall appoint maintain the PSSU within its Ministry of Finance, headed by a qualified officer and thereafter retain assigned with such functions, responsibilities, staffing and funds as shall be required to adequately coordinate and monitor the services of a Project Coordinator, a Project Civil Works Director, an Additional Project Civil Works Director and four Project Directors, one each for Rajshahi, Rangpur, Khulna and Barisal zonal maintenance programsvarious activities under the Project.
2. The Borrower shall appoint shall, in a manner and thereafter retain an Institutional Review Committee substance satisfactory to oversee the Bank:
(a) by June 30, 1996, adopt and, thereafter, implement or cause to be implemented the detailed approach and workplan for professional accountant qualifying examinations;
(b) by July 31, 1996, complete the requirements documents for the Government Accounting System Second Release (GAS R.2.0);
(c) by May 31, 1997, adopt at least 15 accounting and 15 auditing standards;
(d) by September 30, 1997, complete the enrollment process of at least 18 candidates for the overseas degree training program;
(e) by October 31, 1997, adopt and, thereafter, enforce or cause to be enforced at least 30 new rules and 10 disclosure guidelines for the regulation of Capital Markets;
(f) by November 30, 1997, complete and, thereafter, implement or cause to be implemented a pilot data communications system;
(g) by November 30, 1997, complete the acceptance tests of GAS R.2.0; and
(h) by July 31, 1999, adopt at least 40 accounting and 16 auditing standards.

By November 30, 1997, the Borrower shall, in consultation with the Bank, carry out a mid-term review of Project implementation to assess the achievement and sustainability of Part C the objectives of the Project and, thereafter, take all such corrective measures as may be required to achieve the objectives of the Project.

The Borrower shall: (a) not later than December 31, 1996, prepare, using a methodology agreed with the Association, an analysis of the adequacy of the structure and level of road user charges and review its findings and recommended actions with the Associationreports; and (b) thereafter implement through the agreed actionsPSSU, furnish to the Bank semi-annual summary progress Project implementation reports of such scope and in such detail as the Bank shall reasonably request. For these purposes, the Borrower shall adopt and maintain systems and procedures satisfactory to the Bank for monitoring the various activities under the Project.

The Borrower shall, not later than October November 30, 1994, prepare and furnish to the Bank for comments, the final BPN draft of the regulation revising the Borrower’s Regulation PP No. 10 of 1961 on land registration; and, promptly, thereafter, take all measures necessary to enact such regulation by August 31, 1995.

In carrying out Part A of the Project, the Borrower shall take all measures required to ensure that BPN’s special village by village land registration program (PP 10 Program) and BPN’s special land registration program for low-income families (PRONA) in the Project Area are carried out in close coordination with BPN’s Management Support Unit at the provincial level (MSUK) and Management Support Unit at the central level (MSUP), including the use of the new land registration procedures being established under the Project.
4. In carrying out Part A of the Project, the Borrower shall, by December 31 in each year, commencing December 31, 1994, set up an HDM unit in RHD and a planning cell in RRTD with adequate facilities and staff with qualifications and experience satisfactory to the Association and thereafter maintain such unit and cell.

The Borrower shall, for purposes of implementing Part D until completion of the Project, appoint incorporate into BPN’s annual program for aerial photography and thereafter retain mapping, the services of a Chief Resettlement Officer annual work program for aerial photography and supporting field staff in adequate numbers satisfactory to mapping under the Association, including inter alia three Resettlement Officers, one each for Rajshahi, Natore and SaidpurProject.
5. The Borrower shall take all such measures, as shall be necessary, to mitigate any adverse impact In carrying out Part A of the Project on Project, the environment, and Borrower shall, not later than June 30, 1995, establish commence the carrying out of a national information dissemination campaign on land registration procedures, fees and thereafter maintain an environmental unit in RHDbenefits.

8. In carrying out Part A.6 (iii), B.1 (a) and B.2 (c)(i) of the Project, the Borrower shall carry out the training activities in accordance with a program and schedule acceptable to the Bank.

The Borrower shall: (a) not later than December 31, 1996, prepare, using a methodology agreed with the Association, an analysis of the adequacy of the structure and level of road user charges and review its findings and recommended actions with the Association; and (b) thereafter implement the agreed actions.:

3. establish, within three months after the Effective Date, a short list of experienced consultants, acceptable to the Bank, qualified to carry out services under the Project;
4. furnish to the Bank at yearly intervals a program of seminars, workshops and training for the next twelve months, acceptable to the Bank;
5. ensure that no study, assessment, survey, workshop, seminar or other activity undertaken by consultants is implemented without prior nomination of suitably experienced and qualified counterpart staff, to remain in post until the successful attainment of the objectives of such activity;
6. provide in its annual budget amounts adequate to cover its counterpart contributions to the costs of the Project.;
37. The Borrower shallprepare, not later than October 31within two years after the Effective Date, 1994a medium- and long- term transport sector strategy, set up an HDM unit in RHD and a planning cell in RRTD with adequate facilities and staff with qualifications and experience satisfactory acceptable to the Association and thereafter maintain such unit and cell.

Employment of Consultants. 1. (d) maintain a Project Civil Works Director, an Additional Project Civil Works Director supervision team with qualified staff in adequate numbers to ensure that works are carried out in accordance with technical specifications and four Project Directors, one each for Rajshahi, Rangpur, Khulna and Barisal zonal maintenance programsthat strict quality controls are exercised on site.
2. The Borrower shall appoint Zhejiang shall, in coordination with Shanghai, prepare and thereafter retain an Institutional Review Committee furnish to oversee the implementation of Part C Bank by December 31, 1995, a plan for the coordinated management of the ProjectExpressway, including a description of toll operations, toll setting arrangements and measures to facilitate the movement of traffic across the Shanghai-Zhejiang border.
3. The Borrower Zhejiang shall, not later than October 31in coordination with Shanghai, 1994, set up an HDM unit in RHD prepare and a planning cell in RRTD with adequate facilities and staff with qualifications and experience satisfactory to the Association and thereafter maintain such unit and cell.
4. The Borrower shall, for purposes of implementing Part D of the Project, appoint and thereafter retain the services of a Chief Resettlement Officer and supporting field staff in adequate numbers satisfactory to the Association, including inter alia three Resettlement Officers, one each for Rajshahi, Natore and Saidpur.
5. The Borrower shall take all such measures, as shall be necessary, to mitigate any adverse impact of the Project on the environment, and shall, not later than June 30, 1995, establish and thereafter maintain an environmental unit in RHD.
6. The Borrower shall prepare on an economic basis using, inter alia, HDM, and review with the Association by December 31 each year, the proposed work program to be carried out under Parts A (ii) and (iii) of the Project, for the next fiscal year.

(b) The Borrower Prior to commencing such upgrading on any section referred to in (a) above, Zhejiang shall furnish to the Bank:
(i) a detailed description of the design and technical aspects of said section which shall meet engineering design standards acceptable to the Bank;
(ii) a description of construction supervision arrangements for said section;
(iii) layout plans for all junction types for said section; and
(iv) a report containing an assessment of the likely impact of the works on road safety of said section.
5. Zhejiang declares its commitment to the preservation of the environment and, to this end, shall:
(a) carry out the Zhejiang Environmental Action Plan and the Road Safety Environmental Action Plan in a manner satisfactory to the Bank; and
(b) furnish any proposed revision of the plans referred to in (a) above to the Bank for its prior approval.
6. Zhejiang shall:
(a) carry out the Zhejiang Resettlement Action Plan and the Road Safety Resettlement Action Plan in a manner satisfactory to the Bank;
(b) furnish monitoring reports regarding the implementation and impact of resettlement activities under the Zhejiang Parts of the Project in a format acceptable to the Bank as follows:
(i) reports prepared separately by XXXX and ZPHAB shall be furnished to the Bank at three month intervals on or about March 15, June 15, September 15 and December 15 of each year; and
(ii) reports prepared by an independent agency acceptable to the Bank shall be furnished to the Bank on or about July 15 and December 15 of each year; and
(c) furnish any proposed revision of the plans referred to in (a) above to the Bank for its prior approval.
7. Zhejiang shall cause ZPEC and ZPHAB to:
(a) furnish quarterly progress reports on the implementation of the Zhejiang Parts of the Project (not later than June 30including resettlement) to the Bank within two weeks from the end of each quarter of the calendar year and in a format acceptable to the Bank;
(b) by September 30 of each year, beginning in 1996, develop in consultation with furnish to the AssociationBank for its review a detailed implementation plan (including construction, training, environmental and implement the use of new standard contract forms resettlement activities) for the road construction industry.
10. The Borrower shall, not later than December 31, 1996, carry out jointly with the Association a mid-term review implementation of the ProjectZhejiang Parts of the Project during the following calendar year and, in the case of training, for the following two calendar years; and
(c) thereafter, implement each such plan while taking into account any comments made by the Bank.

2. The Borrower shall appoint and thereafter retain an Institutional Review Committee to oversee the implementation of In carrying out Part C A of the Project, the Borrower shall cause the following units and committees to be established in the Project Area not later than November 1, 1994:
(a) basin water management committees or similar committees, comprised of members appointed by the relevant provincial governors and Bupatis, and responsible for implementing the provincial policies and guidelines of the PWRS in allocating the basin’s waters; and
(b) Basin Water Operations Units, with experienced staff, and responsible, inter alia, for water operations and distribution to service areas in the basin.
3. In carrying out Part A of the Project, the Borrower shall carry out basin water resources management in accordance with the Borrower’s Position Paper on Integrated Water Resources Management, dated December 1993, Strategy Paper on Integrated Water Resources Management, dated May 16, 1994, and the Detailed Inter-Agency Action Plan agreed with the Bank.
4. In carrying out Parts B, C, D, and E of the Project, the Borrower shall cause the PWRS’ in the Project Area to carry out the functions of Project management and Project implementation in the relevant province with qualified staff in adequate numbers.
5. In carrying out Special Maintenance under Part C.1 of the Project, the Borrower shall:
(a) ensure that the average annual cost of Special Maintenance financed under the Project does not exceed the average cost limitation agreed with the Bank;
(b) prepare, and furnish to the Bank for approval, additional economic and design justifications of Special Maintenance of irrigation schemes where the estimated cost of the Special Maintenance exceeds the review threshold agreed with the Bank; and
(c) carry out Special Maintenance only on irrigation schemes where the Borrower has obtained assurances from the relevant water users association that, upon completion of the Special Maintenance, such water user association will assume the responsibility of the operation and maintenance of such scheme.
6. In carrying out rehabilitation and expansion activities under Part D of the Project, the Borrower shall ensure that:
(a) selected schemes have a dependable irrigation water supply;
(b) where the estimated cost of rehabilitation exceeds the review threshold agreed with the Bank, the economic rate of return for such selected schemes shall be acceptable to the Bank;
(c) the relevant provincial government has confirmed that the site of the selected schemes will not be converted to a non-agricultural use for a period of at least ten years after completion of the rehabilitation and expansion works;
(d) the beneficiaries shall participate in water users associations; the water users associations have agreed to have the relevant schemes rehabilitated; and procedures have been established for irrigation service fee collection; and
(e) rehabilitated, expanded and new schemes shall be provided with Efficient Operation and Maintenance.
7. In carrying out Part F of the Project, the Borrower shall cause the Directorate General for Public Administration and Regional Autonomy in its Ministry of Home Affairs to include the areas to be selected for the introduction of the irrigation service fee in each annual work program to be prepared in accordance with paragraph 10 of this Schedule.
8. The Borrower shall, not later than October 31January 15, 19941995, set up an HDM unit employ consultants, in RHD and a planning cell in RRTD accordance with adequate facilities and staff with qualifications and experience satisfactory Section II of Schedule 4 to the Association and thereafter maintain such unit and cell.
4. The Borrower shallthis Agreement, provided, however, that consultants to be employed for purposes of implementing Part D F of the Project, appoint and thereafter retain the services of a Chief Resettlement Officer and supporting field staff in adequate numbers satisfactory to the Associationshall be employed not later than April 30, including inter alia three Resettlement Officers, one each for Rajshahi, Natore and Saidpur1995.
59. The Borrower shall take all such measures, as shall be necessary, to mitigate any adverse impact of provide the vehicles required for the Project on the environment, in accordance with a schedule and shall, not later than June 30, 1995, establish and thereafter maintain an environmental unit in RHD.
6. The Borrower shall prepare on an economic basis using, inter alia, HDM, and review with the Association by December 31 each year, the proposed work program to be carried out under Parts A (ii) and (iii) of the Project, for the next fiscal year.

8. The Borrower shall: (a) not later than December 31, 1996, prepare, using a methodology agreed with the Association, an analysis of the adequacy of the structure and level of road user charges and review its findings and recommended actions with the Association; and (b) thereafter implement the agreed actions.
(a) The Borrower shall implement an action program in respect of its road construction industry, which shall include, inter alia (a) common classification/registration of contractors for the road sub-sector, (b) streamlining of contracting procedures, and (c) training and other assistance to contractors.

10. The Borrower shall:
(a) not later than September 30 in each year, commencing November 30, 1994, and until completion of the Project, prepare and furnish to the Bank for comments a work program and cost estimates of Project activities to be carried out during the following Fiscal Year; and, thereafter, carry out such work program taking into account the comments of the Bank thereon;
(b) not later than December 31 in each year, commencing December 31, 1994, prepare and furnish to the Bank for comments the budget proposals for the following Fiscal Year’s work program, based on the cost estimates for such work program; and, thereafter promptly finalize said budget taking into account the Bank’s comments thereon; and
(c) furnish to the Bank, not later than December 31July 1 in each year, commencing July 1, 1995, and until completion of the Project, evidence, satisfactory to the Bank, that the Borrower: (i) has made budgetary allocations for the following Fiscal Year which (A) maintain, in real terms, financing for nationwide irrigation operation and maintenance at a level at least equal to the Fiscal Year 1993/1994 level, and (B) provide incremental funding needed for efficient operation and maintenance; and (ii) has substantially expended the budgetary allocations for operation and maintenance referred to in (i) above for the prior Fiscal Year.
11. In carrying out Part G.2 of the Project, the Borrower shall:
(a) not later than June 1, 1995, prepare and furnish to the Bank for comments, the terms of reference and proposed organiza-tional arrangements for the carrying out of the technical audits of the Project activities under Parts C, D, E and F of the Project;
(b) cause technical audits to be carried out annually, in a manner acceptable to the Bank, during the implementation of the Project, commencing not later than April 1, 1996; and
(c) annually, commencing not later than October 1, 1996, carry furnish to the Bank for comments a copy of such audits.
12. In carrying out jointly the Project, the Borrower shall:
(a) take measures to avoid or minimize involuntary resettlement of individuals; and
(b) where displacement of individuals is unavoidable, the Borrower shall, before carrying out the works which would result in such displacement:
(i) prepare a resettlement plan for said individuals in accordance with policies, planning principles, institutional arrangements and design criteria agreed with the Association a midBank, designed to improve the living standards of said individuals;
(ii) furnish the resettlement plan referred to in sub-term review of paragraph
(i) hereof to the ProjectBank for approval; and
(iii) take all measures necessary to ensure that said individuals shall be resettled in accordance with the resettlement plan approved by the Bank.
