Employment Term; Effectiveness. The Company hereby agrees to continue to employ the Executive, and the Executive hereby agrees to enter into employment, as Group President, International of the Company as of a January 30, 2023, subject to termination pursuant to the terms of this Agreement. The period from January 30, 2023 through the date of termination of Executive’s employment with the Company shall be the “Term of Employment”.
Employment Term; Effectiveness. The Company hereby agrees to continue to employ the Executive, and the Executive hereby agrees to enter into employment, as Executive Vice President and Chief Financial Officer of the Company as of the Start Date, subject to termination pursuant to the terms of this Agreement. Employment Term; Effectiveness. The Company hereby employs Xx. Xxxxxxxxx, and Xx. Xxxxxxxxx hereby accepts employment with the Company, in accordance with and subject to the terms and conditions set forth in this Agreement. The term of Xx. Xxxxxxxxx’x employment under this Agreement (the “Term”) will commence on the Closing Date (as defined in Section 2.2 of the Stock Purchase Agreement) (the “Effective Date”) and, unless earlier terminated in accordance with Section 4, will terminate on June 30, 2024. This Agreement will become effective on the Effective Date. For the avoidance of doubt, in the event that the Transaction does not close on the Closing Date, this Agreement shall be null and void, and Xx. Xxxxxxxxx shall remain employed by the Company pursuant to the Original Employment Agreement.

The term of employment under this Agreement (“Term”) shall be for the period beginning on April 28, 2017 (the “Effective Date”) and ending on the third anniversary of the Effective Date, subject to earlier termination as provided in Section 3. The Term shall automatically renew for additional twelve (12) month periods unless no later than sixty (60) days prior to the end of the applicable Term either party gives written notice of non-renewal (“Notice of Non-Renewal”) to the other, in which case Executive’s employment shall terminate at the end of the then-applicable Term, subject to earlier termination as provided in Section 3.

The Company hereby agrees to employ the Executive, and the Executive hereby agrees to enter into employment, as Executive Vice President and General Counsel of the Company and/or its successors as of November 4, 2019 subject to termination pursuant to Section 6 hereof. The period from the November 4, 2019 through the date of termination of Executive’s employment with the Company shall be the “Term of Employment”. This employment agreement is valid so long as signing the agreement does not constitute a breach of duty with the current employer. The employment agreement will be conditional on you leaving the current employer, prior to the start date at the Company.
