No Conflict; No Other Employment. During the period of Executive’s employment with the Company, Executive shall not: (i) engage in any activity which conflicts or interferes with or derogates from the performance of Executive’s duties hereunder nor shall Executive engage in any other business activity, whether or not such business activity is pursued for gain or profit, except as approved in advance in writing by the Company; provided, however, that Executive shall be entitled to manage his personal investments and otherwise attend to personal affairs, including charitable, social and political activities, in a manner that does not unreasonably interfere with his responsibilities hereunder, or (ii) accept or engage in any other employment, whether as an employee or consultant or in any other capacity, and whether or not compensated therefor.

During the term of this Agreement, the Executive shall not: (i) engage in any activity which conflicts with the performance of the Executive's duties hereunder nor shall the Executive engage in any other business activity, whether or not such business activity is pursued for gain or profit, except as approved in advance in writing by the President and Chief Executive Officer of the Company, which approval shall not be unreasonably withheld; or (ii) engage in any other employment, whether as an executive or consultant or in any other capacity, and whether or not compensated for his services, except as approved in advance in writing by the President and Chief Executive Officer of the Company, which approval shall not be unreasonably withheld.

During the period of Executive’s employment with the Company, Executive shall not: (i) engage in any activity which conflicts or interferes with or derogates from the performance of Executive’s duties hereunder nor shall Executive engage in any other business activity, whether or not such business activity is pursued for gain or profit and including service as a director of any other company, except as approved in advance in writing by the Company; provided, however, that (i) Executive may undertake and fulfill all necessary and appropriate responsibilities to serve as Executive Vice President and General Counsel of vTv; (ii) Executive shall be entitled to manage Executive’s personal investments and otherwise attend to personal affairs, including charitable, social and political activities, in a manner that does not unreasonably interfere with Executive’s responsibilities hereunder, and (iii) other than as set forth above, Executive may not accept or engage in any other employment, whether as an employee or consultant or in any other capacity, and whether or not compensated therefor, except as approved in advance in writing by the Company and such approval will not be unreasonably withheld.
No Conflict; No Other Employment. During the period of Employee's employment with the Company, Employee shall not: (i) engage in any activity which conflicts or interferes with or derogates from the performance of Employee's duties hereunder nor shall Employee engage in any other business activity, whether or not such business activity is pursued for gain or profit, except as approved in advance in writing by the Chief Employee Officer or the Board of Directors of the Company; provided, however, that Employee shall be entitled to manage her personal investments and otherwise attend to personal affairs, including charitable activities, in a manner that does not unreasonably interfere with her responsibilities hereunder, or (ii) accept any other employment, whether as an Employee or consultant or in any other capacity, and whether or not compensated therefor, unless Employee receives the prior approval of the President of the Company.
No Conflict; No Other Employment. The Company and Executive each hereby represent and warrant that (i) they have the full right, authority and capacity to enter into this Agreement and to perform their obligations hereunder, and (ii) the execution of this Agreement and the performance of their obligations hereunder will not breach or be in conflict with any other agreement to which they are a party or are bound. Executive further represents and warrants that (i) she has not removed or taken and will not remove or take any documents or proprietary data or materials of any kind, electronic or otherwise, with her from any current or former employer to the Company without written authorization from her current or former employer, (ii) she will not use or disclose any such confidential information during the course and scope of her employment with the Company, (iii) she has not engaged in any act of workplace misconduct or impropriety, including any act of discrimination or harassment and (iv) she has not been the subject of any allegations relating thereto. Prior to execution of this Agreement, the Executive was advised by the Company of the Executive’s right to seek independent advice from an attorney of the Executive’s own selection regarding this Agreement. The Executive acknowledges that the Executive has entered into this Agreement knowingly and voluntarily and with full knowledge and understanding of the provisions of this Agreement after being given the opportunity to consult with counsel. The Executive further represents that in entering into this Agreement, the Executive is not relying on any statements or representations made by any of the Company’s directors, officers, employees or agents which are not expressly set forth herein, and that the Executive is relying only upon the Executive’s own judgment and any advice provided by the Executive’s attorney. This representation is an express condition to this Agreement and, in the event of a breach of this representation, this Agreement shall be null and void.

During the period of Executive's employment with the Company, Executive shall not: (i) engage in any activity which conflicts or interferes with or derogates from the performance of Executive's duties hereunder nor shall Executive engage in any other business activity, whether or not such business activity is pursued for gain or profit, except as approved in advance in writing by the Board of Directors of the Company; provided, that Executive shall be entitled to manage his personal investments and otherwise attend to personal affairs, including charitable activities, in a manner that does not unreasonably interfere with his responsibilities hereunder, or (ii) accept any other full-time or substantially full-time employment, whether as an executive or consultant or in any other capacity, and whether or not compensated therefor. Among other things, Executive may serve on the Board of Directors of any company which is not a Competing Business (as defined in Section 5 hereof), so long as service on such Board or Boards does not unreasonably interfere with fulfillment of his obligations hereunder, and so long as he
