Endorsement Use. The Company shall be responsible for ensuring that the work product approved for dissemination to the public pursuant to this Agreement complies with (i) the Federal Trade Commission’s revised Guides Concerning the Use of Endorsements and Testimonials in Advertising and other laws applicable to celebrity endorsements and (ii) any applicable cannabis regulations. The Company understands this may require certain Marketing Materials to indicate that Artist is a compensated endorser. Lender shall cooperate in developing the content with such disclaimers as the Company may reasonably request to ensure such compliance. Lender and Artist will agree to use all reasonable efforts to only promote the Company products in a manner consistent with its authorized use and as outlined on product labels.

  • Endorsement The Seller shall provide a blanket endorsement transferring the entire interest of the Seller and the Interim Eligible Lender Trustee for the benefit of Seller in the Loans to the Eligible Lender Trustee for the benefit of the Purchaser with the form of endorsement provided for in the Sale Agreement. At the direction of and in such form as Purchaser may designate, the Seller also agrees to individually endorse any Eligible Loan as Purchaser may request from time to time.

  • Insurance Policy insurance policies and insurance contracts of any kind that immediately prior to the Effective Time are or have been owned or maintained by, or provide a benefit in favor of, any member of either Group or any of its predecessors, including, without limitation, workers compensation/employers liability (including self-insured workers compensation in the State of Indiana), commercial general liability (including product liability), auto liability, excess/umbrella liability, property/business interruption, marine cargo, blanket crime/fidelity, aviation including airport liability, international liability and Executive Liability Policies.   • Registration and Indorsement It will ensure that all financial assets (other than cash) credited to the Collateral Account are registered in the name of the Financial Institution, indorsed to the Financial Institution or in blank or credited to another securities account maintained in the name of the Financial Institution and that no financial asset credited to the Collateral Account is registered in the name of the Grantor, payable to the order of the Grantor or specially indorsed to the Grantor unless it has been indorsed to the Financial Institution or in blank.
