Enforcement; Equitable Relief. Employee acknowledges that any breach or threatened breach by Employee of any provision of this Agreement may result in immediate and irreparable injury to the Company, and that such injury may not be readily compensable by monetary damages. In the event of any such breach or threatened breach, Employee acknowledges that, in addition to all other remedies available at law and equity, the Company shall be entitled to seek equitable relief (including a temporary restraining order, a preliminary injunction and/or a permanent injunction), and an equitable accounting of all earnings, profits or other benefits arising from such breach and will be entitled to receive such other damages, direct or consequential, as may be appropriate. In addition, and not instead of, those rights, Employee further acknowledges that Employee shall be responsible for payment of the fees and expenses of the Company’s attorneys and experts, as well as the Company’s court costs, pertaining to any suit, action, or other proceeding, arising directly or indirectly out of Employee’s violation or threatened violation of any of the provisions of this section. The Company shall not be required to post any bond or other security in connection with any proceeding to enforce this section.

Enforcement; Equitable Relief. Notwithstanding anything to the contrary in this Section 11.9(f): (a) either party may enforce any judgment rendered by the arbitrator in any court of competent jurisdiction; (b) the arbitrator shall have the right to issue equitable relief, including preliminary injunctive relief; and (c) should Xxxxxxx, in its sole discretion, determine or believe that a breach of this Agreement has occurred which gives rise to an injury for which Xxxxxxx may not be adequately compensated by monetary damages, Xxxxxxx may commence a lawsuit in the state or federal courts located in the State of Maryland to obtain emergency equitable relief, including but not limited to a preliminary injunction and temporary restraining order. You hereby irrevocably consent to the personal jurisdiction of the state or federal courts of the State of Maryland should Xxxxxxx pursue remedies under this Section and agrees that service of process, summons, notice or other document by mail or overnight delivery by a national/international carrier, with proof of delivery, to your address shall be effective service of process for any such lawsuit.

It is accordingly hereby agreed that the parties hereto shall be entitled to an injunction or injunctions to restrain, enjoin and prevent breaches of this Agreement by the other parties and to enforce specifically the terms and provisions hereof in any court of the United States or any state having jurisdiction, such remedy being in addition to and not in lieu of, any other rights and remedies to which the other parties are entitled to at law or in equity.
