Enforcement of Confidentiality Obligation. Each Party agrees that the disclosing Party would be irreparably injured by a breach of this Article by the receiving Party or its Representatives or other Person to whom the receiving Party discloses Confidential Information of the disclosing Party and that the disclosing Party may be entitled to equitable relief, including injunctive relief and specific performance, in the event of any breach of the provisions of this Article. To the fullest extent permitted by Applicable Law, such remedies shall not be deemed to be the exclusive remedies for a breach of this Article, but shall be in addition to all other remedies available at law or in equity.

Customer recognizes that Siemens is in the business of providing software development Services and may perform Services for other persons similar to the Services. Subject to Customer's ownership of Intellectual Property pursuant to Section 4.2 and subject to the confidentiality and other provisions of this Agreement, Siemens retains the right and nothing shall prevent Siemens from using its ideas, concepts, methods, processes, know-how, organization, techniques or any Software or Equipment owned, leased or licensed by Siemens in providing Services to any third person.

ARTICLE XX tc "ARTICLE XX" PROHIBITION ON IMPROPER PAYMENTS tc "PROHIBITION ON IMPROPER PAYMENTS" Neither party shall use any funds received under this Agreement for illegal or otherwise "improper" purposes. Neither party shall pay any commission, fees or rebates to any employee of the other party. If either party has reasonable cause to believe that one of the provisions in this Article has been violated, it, or its representative, may audit the books and records of the other party pursuant to the procedures set forth in Article XI above for the sole purpose of establishing compliance with such provisions.
