Third Person definition

Third Person has the meaning set forth in Section 11.3.

Third Person means Persons other than the Parties or Affiliates thereof.

• The Parties shall make available to each other all relevant information in their possession relating to any such Third Person Claim and shall cooperate in the defense thereof.

• Upon agreement as to such settlement between said Third Person and the Indemnifying Party, the Indemnifying Party shall, in exchange for a complete release from the Indemnified Party, promptly pay to the Indemnified Party the amount agreed to in such settlement.
