Entire Agreement and Schedules. This Agreement, including the Schedules hereto, constitutes and comprises the entire agreement and understanding between the parties hereto with regard to the subject matter hereof and supersedes all prior agreements and undertakings, both written and oral, between the parties with respect to the subject matter hereof. The Schedules hereto shall for all purposes form an integral part of this Agreement. The Seller acknowledges having been provided by the Company, and reviewed, a copy of the Pre-Acquisition Agreement.

The Licensee further agrees that any terms and conditions of any purchaser order or other instrument issued by the Licensee in connection with this Agreement which are in addition or inconsistent with the terms and conditions of this Agreement shall not be binding on UNITED and shall not apply to this Agreement.

The Licensee further agrees that any terms and conditions of any purchaser order or other instrument issued by the Licensee in connection with this Agreement which are in addition to or inconsistent with the terms and conditions of this Agreement shall not be binding on Webcast and shall not apply to this Agreement.

17.4 None of the rights or obligations under this agreement may be assigned or transferred without the prior written consent of all the parties.

The Licensee further agrees that any terms and conditions of any purchaser order or other instrument issued by the Licensee in connection with this agreement which are in addition or inconsistent with the terms and conditions of this agreement shall not be binding on Softec and shall not apply to this agreement.
Entire Agreement and Schedules. (a) This Agreement constitutes the entire and only agreement between the Parties relating to the subject matter of the Agreement. As a consequence, this Agreement supersedes and cancels any contract, agreement, exchange of letters or verbal agreement relating to the same matter that may have been entered into between all the Parties, or part of them, prior to the date hereof and all the obligations provided therein, which were fully and satisfactorily complied with until the date of this Agreement by each Party.
(b) The Schedules attached to this Agreement shall be construed with, and as an integral part of, this Agreement.
Entire Agreement and Schedules. 19.1 This Agreement and the Principal Asset Purchase Agreement and the Schedules shall constitute the entire agreement and understanding between the parties with respect to the sale and purchase of the Business and the Assets. Neither party hereto has entered into this Agreement in reliance upon any representation warranty or undertaking of the other party which is not set out and referred to in this Agreement. No variation of this Agreement shall be effective unless it is in writing and signed by (or by some person duly authorised by) each of the parties.
19.2 All the Schedules form part of this agreement.
19.3 This agreement shall be binding upon each party's successors and permitted assigns.
19.4 Neither party may assign any of its rights under this agreement without the prior consent of the other.
