Equipment Provided by Heartland. Merchant may choose to rent Equipment from Heartland, may receive equipment from Heartland in connection with its receipt of software services, or may be loaned equipment by Heartland (collectively, “Rental Equipment”). Merchant is liable for all rental payments due hereunder. Rental privileges shall last as long as Merchant continues to remit timely rental payments and complies with its agreements with Heartland. All Rental Equipment is and shall remain the sole personal property of Heartland and will not be deemed for any purpose to be fixtures. Heartland may affix or attach to all Rental Equipment a tag or label indicating its ownership of, or interest in, said Rental Equipment and Merchant will not remove, or allow the removal of, any such tag or label. Merchant will not sell, lease, encumber, or otherwise dispose of any interest in any Rental Equipment and will keep it free of all liens, claims or encumbrances whatsoever. Merchant will not be liable for ordinary wear and tear of Rental Equipment. Rental Equipment may be replaced at no expense to Merchant if a defect in the Rental Equipment cause it to become inoperable through no fault of Merchant, its employees, agents or customers. If Rental Equipment is damaged due to the negligence or the willful acts or omissions of Merchants, its employees, agents or customers, Merchant will be charged by Heartland for any repairs. . Merchant will be liable for the full cost of the Rental Equipment in the event the Rental Equipment is lost, destroyed or made inoperative. Xxxxxxxx will indemnify Heartland against any loss or destruction of any Rental Equipment for any cause whatsoever, excepting the negligence of Heartland. If applicable, Merchant shall pay the monthly rental price indicated on the order form, and such rental fees will be collected monthly via an automatic ACH debit to Merchant’s designated DDA Account and will be billed monthly including the last month in which Merchant processes transactions. Within thirty (30) days of the termination or expiration of the Agreement (the “Return Deadline”), all Rental Equipment must be returned to Heartland at Merchant’s sole cost and expense. In addition, should Merchant discontinue processing bankcard Transactions with Heartland prior to the expiration of the term of the Agreement, it shall pay to Heartland an Equipment Agreement cancellation fee of $100.00.   • Life support equipment (a) If a person living at your premises requires life support equipment, you must register the premises with your retailer or with us. To register, you will need to give written confirmation from a registered medical practitioner of the requirement for life support equipment at the premises.

  • Equipment Use Lessee agrees that the Equipment will be operated by competent, qualified personnel in connection with Lessee's business for the purpose for which the Equipment was designed and in accordance with applicable operating instructions, laws, and government regulations, and that Lessee shall use all reasonable precautions to prevent loss or damage to the Equipment from fire and other hazards. Lessee shall procure and maintain in effect all orders, licenses, certificates, permits, approvals, and consents required by federal, state, or local laws or by any governmental body, agency, or authority in connection with the delivery, installation, use, and operation of the Equipment.

  • Physical Collocation (a) If space for Physical Collocation is immediately available at the time of CLEC's request, SBC-AMERITECH shall include in its notice to CLEC: (i) the space to be provided, and (ii) whether SBC- AMERITECH can deliver the space to CLEC by the date set forth in Section 12.15.2(d).

  • EQUIPMENT AND TOOLS 40.01 The Employer will make available all necessary tools and equipment it requires for the performance of work assignments at no cost to the employees. Such tools and equipment will remain the property of the Employer and the employees will be required to take reasonable care of this property and may be required to sign out certain equipment and tools.

  • Equipment Ownership The ownership of all equipment provided by the Contractor shall remain with the Contractor, and equipment shall be maintained by the Contractor in accordance with manufacturer recommendations and all Federal (including OSHA), New York State and local codes. The Contractor shall provide and maintain the collection equipment at the Authorized User’s facility(s) for use twenty-four hours per day, seven days per week, 365 days per year. If equipment is removed for longer than brief periods for emptying the container, it shall be replaced with equal type and capacity equipment to ensure continuous dumping ability. If not so provided, the Authorized User shall be provided with a rebate for the amount of time they were unable to dump and the Authorized User may seek "Remedies for Breach" as stated in Appendix B. If the equipment is owned by the Authorized User, the Authorized User assumes liability and costs associated with the equipment and a price reduction may be passed along to the Authorized User representing the difference in cost, if any, for the Contractor not having to provide the equipment.

  • Equipment Rental Charges i. The Judicial Council may use either the Contractor’s audio-visual provider or provide for its own audio-visual source to service the Program. Should the Judicial Council use the Contractor’s audio-visual provider, the charges for services and/or equipment provided under this exhibit shall not exceed the amounts set forth in the Contractor’s Audio- Visual and Other Equipment Price List, as attached to this Agreement in Exhibit H. The Contractor shall not charge nor will the Judicial Council pay for audio-visual services and/or equipment that are provided by the Judicial Council.

  • Equipment and Vehicle Parking Company will ensure that all equipment, including but not limited to, vehicles owned or operated by Company, its vendors and/or contractors, will not be parked in a manner that interferes in any way with any operations at the Airport. Company’s equipment and vehicles and those of its vendors and/or contractors will be parked in designated parking areas as provided by Authority. No vehicle shall access the AOA unless directly related to Company’s business operations. All vehicles driven, escorted, or parked on the AOA must meet Authority’s insurance requirements and any other applicable Authority Rules and Regulations and security requirements. All vehicles, including those of Company’s Parties, excluding escorted vehicles, accessing the AOA must bear Company’s identification on both sides of the vehicle which should be identifiable from a distance of fifty (50) feet. Company must also display Authority’s logo decal. Information regarding vehicle access to the AOA is available from Authority’s Badging Office. All persons accessing the AOA must adhere to Authority’s SIDA training, Airport Security Program, and TSA regulations. Company will verify that its Company Parties who operate motorized vehicles on Airport property have a valid driver’s license. Company will provide evidence in writing of such verification within fifteen (15) days’ of written request by Authority. If Company fails to provide verification or if Company’s Party is found to be driving on Airport property without a valid driver’s license, Authority will revoke the offending driver’s ID Media and may assess liquidated damages against Company of up to $1,000 per occurrence. Said liquidated damages will be due and payable within fifteen (15) days’ notice of invoice for the same. On a quarterly basis, Company will conduct and maintain periodic audits of the status of the driver’s licenses of Company Parties to ensure that they possess and maintain a valid driver’s license. Such audits shall be provided to Authority upon fifteen (15) days’ written request by Authority.
