EVENTS OF EARLY TERMINATION; PENALTIES. 11.1 MWSS Event of Default Each of the following events shall constitute an “MWSS Event of Default,” which are grounds for terminating this Concession Agreement: (i) MWSS is dissolved, reconstituted or abolished and the Concession Agreement ceases to be enforceable against it, unless the obligations of MWSS are assumed by the Government or by an entity owned by the Government; (ii) The whole or any material part of the assets of or shares in the Concessionaire are expropriated, nationalized, or confiscated or steps are taken by any Government Authority that deprive the shareholders of the ability to direct the management of the Concessionaire; (iii) The necessary governmental authorization or approval to enable MWSS perform any of its material obligations under this Agreement, shall be revoked, withdrawn or withheld or shall otherwise fail to be issued or to remain in full force and effect; and which shall remain unremedied for a period of sixty (60) days; (iv) MWSS shall fail, without cause, to perform an obligation under this Agreement of a kind or to a degree that such failure materially prevents the Concessionaire from carrying out its responsibilities under this Agreement and such failure continues for a period of not less than forty-five (45) days after written notice from the Concessionaire to MWSS; (v) MWSS, acting on its own behalf or at the direction of any Government Authority, shall make an assignment for the benefit of creditors, petition or apply to any tribunal for a receiver or a trustee for itself or for any substantial part of its property, commence any judicial or other legal proceedings by reason of its financial difficulties under any reorganization, arrangement, readjustment of debt, dissolution, or liquidation law or statute of any jurisdiction, whether now or hereafter in effect; or there shall be commenced against MWSS any such proceeding which shall remain undismissed for a period of forty-five (45) days, or MWSS shall by any act indicate its consent to, approval of, or acquiescence, in any such proceeding or the appointment of any receiver of, or trustee for, it or any substantial part of its property, or shall suffer any such receivership or trusteeship to continue undischarged for a period of forty-five (45) days; or there shall be any reorganization, arrangement, readjustment of debt, dissolution, or liquidation with respect to MWSS which does not involve a judicial proceeding and the occurrence of any or all of the above even...

  • Early Termination Charges If this Agreement is terminated prior to its End Date pursuant to Clauses 42A-42, 43(a) or A- 43(c), the Home Customer shall pay to the Company an Early Termination Charge equivalent to (Termination Rate x Unexpired Months) where:

  • Alternative Calculations and Payment on Early Termination and on Certain Extraordinary Events If (a) an Early Termination Date (whether as a result of an Event of Default or a Termination Event) occurs or is designated with respect to the Transaction or (b) the Transaction is cancelled or terminated upon the occurrence of an Extraordinary Event (except as a result of (i) a Nationalization, Insolvency or Merger Event in which the consideration to be paid to holders of Shares consists solely of cash, (ii) a Merger Event or Tender Offer that is within Counterparty’s control, or (iii) an Event of Default in which Counterparty is the Defaulting Party or a Termination Event in which Counterparty is the Affected Party other than an Event of Default of the type described in Section 5(a)(iii), (v), (vi), (vii) or (viii) of the Agreement or a Termination Event of the type described in Section 5(b) of the Agreement, in each case that resulted from an event or events outside Counterparty’s control), and if Dealer would owe any amount to Counterparty pursuant to Section 6(d)(ii) of the Agreement or any Cancellation Amount pursuant to Article 12 of the Equity Definitions (any such amount, a “Payment Obligation”), then Dealer shall satisfy the Payment Obligation by the Share Termination Alternative (as defined below), unless (a) Counterparty gives irrevocable telephonic notice to Dealer, confirmed in writing within one Scheduled Trading Day, no later than 12:00 p.m. (New York City time) on the Merger Date, Tender Offer Date, Announcement Date (in the case of a Nationalization, Insolvency or Delisting), Early Termination Date or date of cancellation, as applicable, of its election that the Share Termination Alternative shall not apply, (b) Counterparty remakes the representation set forth in Section 8(f) as of the date of such election and (c) Dealer agrees, in its sole discretion, to such election, in which case the provisions of Section 12.7 or Section 12.9 of the Equity Definitions, or the provisions of Section 6(d)(ii) of the Agreement, as the case may be, shall apply.

  • Termination Events If the Early Termination Date results from a Termination Event:—

  • Early Termination of Services Termination at any time upon 90 days’ prior written notice. Following the written notice period and coinciding with the early termination by the Recipient of any Service(s) in this Schedule, Early Termination Fees equal to 75% of the monthly cost of such terminated Services shall be charged to Recipient monthly until the earlier of (i) three (3) months after termination or (ii) the expiration of the Term of this Schedule. Such payment shall be made by wire transfer of immediately available funds to a bank account or accounts designated by such TRA Party or as otherwise agreed by the Corporate Taxpayer and such TRA Party or, in the absence of such designation or agreement, by check mailed to the last mailing address provided by such TRA Party to the Corporate Taxpayer.
