Evidence of Deferred Payment. Any unpaid portion of the ------------ ---------------------------- purchase price shall be evidenced by one or more promissory notes executed by the purchasing Limited Partner or Partners, as the case may be. Such promissory note or notes shall be made payable to the person or persons entitled to receive the proceeds of the sale of such interest, shall provide for prepayment without penalty, and shall contain a provision giving the holder of such note the option to accelerate all payments under such note in the event of any default in the payment of principal or interest which continues for thirteen (13) days after written notice of such default is given to maker. The unpaid portion of the purchase price shall be secured by a pledge of the interest so purchased to the Selling Limited Partner; any such pledge shall be evidenced by an agreement in the form and content customarily utilized by commercial lenders in the county in which the registered office of the Partnership is located. In the event the pledgee acquires the interest through execution of the pledge or otherwise, then such pledgee shall again become bound by the terms of this Agreement.

  • Delayed Payments In the event of a genuine dispute between State Auto or any Subsidiary and Executive regarding the amount or timing of benefits under this Agreement, a delay in the payment of amounts under this Agreement shall not cause Executive to violate Code Section 409A to the extent that such delay satisfies the conditions set forth in Code Section 409A and applicable regulations thereunder.

  • Delayed Payment Premium balances that remain unpaid for more than thirty (30) days after the Remittance Date will incur interest from the end of the reporting period. The provisions of this Section 2.21 shall survive the termination of this Agreement.

  • Payment of Deferred Discount Upon the consummation of the initial Business Combination, the Company will pay to the Representative, on behalf of the Underwriters, the Deferred Discount. Payment of the Deferred Discount will be made out of the proceeds of the Offering held in the Trust Account, and the Company will instruct CST to transfer the Deferred Discount to the Representative concurrent with any transfer of the funds held in the Trust Account to the Company or any other person. The Underwriters shall have no claim to payment of any interest earned on the portion of the proceeds held in the Trust Account representing the Deferred Discount. If the Company fails to consummate its initial Business Combination within the time period set forth in the Amended and Restated Certificate of Incorporation, the Deferred Discount will not be paid to the Representative and will, instead, be included in the Liquidation distribution of the proceeds held in the Trust Account made to the Public Stockholders. In connection with any such Liquidation, the Underwriters forfeit any rights or claims to the Deferred Discount.

  • Payment of Deferred Compensation Any compensation that has been earned by the Executive but is unpaid as of the Termination Date, including any compensation that has been earned but deferred pursuant to the Company's Deferred Compensation Plan or otherwise, shall be paid in full to the Executive on the Termination Date.
