Exceeding license. The Partner shall make its best effort to monitor The End Customer’s license usage. In case The Partner ignores if The End Customer exceeds their license for a period longer than thirty (30) days in combination with at least two (2) reminders from Xxxx Security, Xxxx Security is entitled to charge for the exceeding license usage.

Exceeding license. If The Partner invoices The End Customer the following terms applies, unless there are specifically agreed terms for The End Customer between The Partner and Xxxx Security. The Partner shall make its best effort to monitor The End Customer’s license usage. In case The Partner ignores if The End Customer exceeds their license for a period longer than thirty (30) days in combination with at least one (1) reminder from Xxxx Security, Xxxx Security is entitled to charge The Partner for the exceeding license usage.

  • API License If you are purchasing an application programming interface ("API") license, other than a Learn API as defined below, we grant you a limited, non-exclusive, revocable, non-sublicensable, non-transferable license to access each API set forth in the Order Form. The API(s) are provided in the form of a web service that enables a "connection" into our servers. We will provide you with the information necessary to enable your secure use of the API(s). You may not use or install the API(s) for any other purpose without our written consent, and may not copy, rent, adapt, disassemble, lease, assign, sublicense, reverse engineer, modify or decompile, the API(s) or any part thereof. We reserve the right to limit the number and/or frequency of API requests or take other actions necessary to protect the integrity of our services.

  • User License We grant you a non-assignable, non-sublicensable, non-exclusive, worldwide right and license to internally use and install the Software for the number of user(s) set forth in the Order Form for Commercial purposes.

  • Business License Prior to commencement of work, Consultant shall obtain a business license from City.

  • Trial License We grant you a free-of-charge, non-assignable, non-sublicensable, non-exclusive, worldwide right and license for one (1) Authorized User to install and use one (1) copy of the Software solely for internal Non-Production purposes to evaluate the Software to determine whether to purchase a license to the Software. You may not download more than one (1) copy of the Software unless otherwise authorized by us. You may not use the Software for any other purpose. You may only use the Software for thirty (30) days from the Effective Date, unless otherwise authorized by us ("Trial Period"). Unless you pay the applicable fee for the Software, the Software may become inoperable and, in any event, your right to use Software automatically expires at the end of the Trial Period. We may terminate your license to the trial version of the Software upon written notice at any time for any reason and without liability of any kind. If you subsequently license a non-trial version of the Software, your license to the trial version of the Software shall immediately terminate.
