Excluded or Disqualified. The Subgrantee certifies that to the best of the Subgrantee’s knowledge and belief the Subgrantee and its principals: a) Are not presently excluded or disqualified (debarment, suspension and other responsibility matters); b) Have not been convicted within the preceding three years of any of the offenses listed in 45 CFR 1185.800(a), (xxx.xxx/xxxxx/xxx/XXX-0000-xxxxx00-xxx0/xxx/XXX-0000-xxxxx00- vol3-part1185-subpartH.pdf) incorporated by reference, or had a civil judgment rendered against them for one of those offenses within that time period; c) Are not presently indicted for or otherwise criminally or civilly charged by a governmental entity (federal, state or local) with commission of any of the offenses listed in 45 CFR 1185.800(a) (xxx.xxx/xxxxx/xxx/XXX-0000-xxxxx00-xxx0/xxx/XXX-0000- title45-vol3-part1185-subpartH.pdf), incorporated by reference; and d) Have not had one or more public transactions (federal, state or local) terminated within the preceding three years for cause or default. e) Will comply with 45 CFR Part 1185 Subpart C (Responsibilities of Participants Regarding Transactions) (xxx.xxx/xxxxx/xxx/XXX-0000-xxxxx00-xxx0/xxx/XXX-0000- title45-vol3-part1185-subpartC.pdf), incorporated by reference, and will require similar compliance with Subpart C by persons at the next lower tier with whom the primary tier participant enters into covered transactions.

  • Disqualifying Disposition If the Participant disposes of Shares acquired upon exercise of this option within two years from the Grant Date or one year after such Shares were acquired pursuant to exercise of this option, the Participant shall notify the Company in writing of such disposition.

  • Disqualifying Offenses If at any time it is determined that a person has been found guilty of a misdemeanor or felony offense as a result of a trial or has entered a plea of guilty or nolo contendere, regardless of whether adjudication was withheld, within the last six (6) years from the date of the court’s determination for the crimes listed below, or their equivalent in any jurisdiction, the Contractor is required to immediately remove that person from any position with access to State of Florida data or directly performing services under the Contract. The disqualifying offenses are as follows: (a) Computer related crimes; (b) Information technology crimes; (c) Fraudulent practices; (d) False pretenses; (e) Frauds; (f) Credit card crimes; (g) Forgery; (h) Counterfeiting; (i) Violations involving checks or drafts; (j) Misuse of medical or personnel records; and (k) Felony theft.
