Exclusive Management by Managers. The business, property and affairs of the Company shall be managed exclusively by the Managers. Except for situations in which the approval of the Members is expressly required by the Articles or this Agreement, the Managers shall have full, complete and exclusive authority, power, and discretion to manage and control the business, property and affairs of the Company, to make all decisions regarding those matters and to perform any and all other acts or activities customary or incident to the management of the Company’s business, property and affairs.
Exclusive Management by Managers. Subject to the provisions of -------------------------------- this Agreement relating to actions required to be approved by the Members, the business, property and affairs of the Company shall be managed and all powers of the Company shall be exercised by or under the direction of the Managers.
Exclusive Management by Managers. Subject to the provisions of -------------------------------- the Articles and this Agreement, the business, property and affairs of the Company shall be managed, and all powers of the Company shall be exercised, by or under the direction of the Managers. Each Manager, in his or her capacity as a Manager, shall have no authority to act alone, but the Managers shall only act as members of a Board of Managers as provided in this Agreement. Every act or decision done or made by a majority of the Managers sitting on the Board, whether or not present, at a meeting duly held at which a quorum is present is the act of the Board of Managers, unless a greater number or the same number after disqualifying one or more Managers from voting is required by law, or by this Agreement.
Exclusive Management by Managers. Subject to the provisions of this Agreement and/or the Act relating to actions required to be approved by the Members, the business, property and affairs of the Company shall be managed and all powers of the Company shall be exclusively exercised by or under the direction of the Managers. The Managers shall act collectively by Majority Vote, as set forth in Section 6.5.9, in all matters, unless otherwise expressly required by the Act or this Agreement. The Managers, acting collectively by the requisite vote, shall have the power to do any and all acts necessary or convenient to or for the furtherance of the purposes described herein, including all powers, statutory or otherwise, possessed by Managers under the laws of the State of Oklahoma. Each of the Managers shall be deemed to be a “manager” within the meaning of the Act. Without limiting the foregoing, each Manager shall have the ability and the authority to execute contracts and deliver instruments binding upon the Company, but solely to the extent such Manager is authorized and directed by the majority of the Managers to do so. Any determination by the Managers hereunder must be made in good faith.

Notwithstanding the foregoing, the Managers may delegate to officers of the LLC the authority to carry out day-to-day functions of IMMERSION, pursuant to the direction and policies established by the Managers.
