Executive’s Position/Duties. During the term of this Agreement, Executive will be employed as the Executive Vice President and Chief Financial Officer of the Company, and shall have all of the duties and responsibilities of that position. Executive shall be considered a key employee of the Company and shall be entitled to all the Company benefits afforded to key employees. Executive agrees to dedicate all of his working time (during normal working hours other than during excused absences such as for illness or vacation), skill and attention to the business of the Company, agrees to remain loyal to the Company, and not to engage in any conduct that creates a conflict of interest to, or damages the reputation of, the Company. Executive shall abide by the Company’s Code of Ethics and Code of Ethics for Senior Financial Officers.
Executive’s Position/Duties. (a) Executive will continue to be employed as the Chief Executive Officer of the Company (“CEO”), and shall have all of the duties and responsibilities of that position. Executive agrees to dedicate all of his working time (during normal working hours other than during excused absences such as for illness or vacation), skill and attention to the business of the Company, agrees to remain loyal to the Company, and not to engage in any conduct that creates a conflict of interest to, or damages the reputation of, the Company. Executive shall be subject to and abide by all policies promulgated by the Company from time to time, including the Company’s Anti-Hedging Policy, Claw-back Policy and Code of Ethics.
Executive’s Position/Duties. During the Term (as hereinafter defined), the Company shall employ Executive in the position of Chief Executive Officer. The Executive accepts such employment and have such duties and responsibilities as are reasonably assigned, delegated and determined as are customarily assigned to individuals serving in such position and such other duties consistent with Executive’s title (with such other duties and/or offices in the Company and its affiliates as may be assigned from time to time by the Company, its Board of Directors, or Chief Executive Officer and as agreed to by Executive) and the Executive accepts such employment and agrees to perform such duties. The Executive agrees to devote his or her full customary business time and energies to the business of the Company and/or its affiliates and subsidiaries to perform his/her duties hereunder.
Executive’s Position/Duties. Effective as of the date hereof, during the term of the Original Agreement, including any renewal term, Executive shall be Executive Chairman of the Company, and shall have all of the duties and responsibilities of that position.

Executive shall be considered a key employee of the Company and shall be entitled to all the Company benefits afforded to key employees. Executive agrees to dedicate all of his working time during normal working hours (other than during excused absences such as for illness or vacation), skill and attention to the business of the Company, agrees to remain loyal to the Company, and not to engage in any conduct that creates a conflict of interest to, or damages the reputation of, the Company. Executive shall abide by the Company’s Code of Ethics and Code of Ethics for Senior Financial Officers, copies of which are attached hereto and incorporated herein. Executive shall relocate from Mableton, Georgia to the area of the Company’s executive offices in Grapevine, Texas as soon as reasonably practicable.

Executive’s Position/Duties. From the date hereof through March 3, 2013, Executive shall be Chairman International of the Company. For such period, Executive shall perform such duties as designated by the Executive Chairman of the Company. Executive’s employment with the Company shall automatically terminate effective March 3, 2013, without further notice on the part of either Party, and with no subsequent renewal terms.

Executive’s Position/Duties. From the date hereof through February 27, 2010 (the “EVP Period”), Executive shall be an Executive Vice President of the Company. From February 28, 2010 through March 3, 2012 (the “VP Period”), Executive shall be a Vice President of the Company. For each such period, Executive shall perform such duties as designated by the Chief Executive Officer or Chief Operating Officer of the Company. Executive’s employment with the Company shall automatically terminate effective March 3, 2012, without further notice on the part of either Party, and with no subsequent renewal terms.

Executive shall serve at the pleasure and direction of the Company as represented by its Board of Directors. Executive shall be considered a key employee of the Company and shall be entitled to all the Company benefits afforded to key employees. Executive agrees to dedicate all of his working time (during normal working hours other than during excused absences such as for illness or vacation), skill and attention to the business of the Company, agrees to remain loyal to the Company, and not to engage in any conduct that creates a conflict of interest to, or damages the reputation of, the Company.
