Exhibition of Premises. Landlord reserves the right to enter the Leased Premises during Tenant's normal business hours and with reasonable advance notice to Tenant for the purpose of exhibiting the Leased Premises to prospective purchasers, investors or mortgagees and, during the last one hundred eighty (180) days of the Term of this Lease if no extension or new lease has been agreed upon by Landlord and Tenant, for the purpose of exhibiting the same to prospective tenants.
Exhibition of Premises. Lessee shall permit Lessor and its agents, upon at least twenty-four (24) hours prior notice, to enter and pass through the Premises or any part thereof at reasonable times during normal business hours to: (a) post notices of nonresponsibility; (b) exhibit the Premises to holders of encumbrances on the interest of Lessor under the Lease and to prospective purchasers, mortgagees or lessees of the Office Complex; and (c) during the period of six (6) months prior to the expiration of the Lease Term, exhibit the Premises to prospective lessees thereof, provided, in each case, that Lessor shall not unreasonably interfere with Tenant's use and occupancy of the Premises. If during the last month of the Lease Term, Lessee shall have removed substantially all of Lessee's property and personnel from the Premises, Lessor may, with the prior written consent of Lessee, which consent may not be unreasonably withheld or delayed, enter the Premises and repair, alter, and redecorate the same, without abatement of Rent and without liability to Lessee; and such acts shall have no effect on this Lease.
Exhibition of Premises. Tenant shall permit Landlord and its agents to enter and pass through the Premises at all reasonable hours to:
(a) Post notices of non-responsibility; and
(b) Exhibit the Premises to Holders of Superior Interests and to any prospective Lender, purchaser or lessee of the Building, provided that Landlord provides Tenant with at least one (1) business day prior notice (except in the event of an emergency) of such entry, enters in the company of a representative of Tenant, and complies with Tenant’s confidentiality policies and procedures.
Exhibition of Premises. Landlord shall have the right, at any time upon twenty-four (24) hour notice to the Tenant, during business hours, to exhibit the Leased Premises to any prospective lender or purchaser or to any prospective Tenant during the last Nine (9) months of the Term.

Notwithstanding anything in this Lease to the contrary, Landlord agrees to indemnify, protect, defend and hold Tenant, and Tenant’s partners, members, managers, directors, officers, shareholders, employees, contractors and agents, harmless from and against any and all claims, costs, liabilities, actions and damages, including, without limitation, reasonable attorneys’ fees and costs, on behalf of any person or persons, firm or firms, corporation or corporations, arising out of such exhibition of the Premises; provided, however, that Tenant will be liable for its own negligent acts (and those of its employees, contractors and agents) and for the breach of its express obligations hereunder.

Exhibition of Premises.
