Exit Requirements on Termination. 7.1 Where the Authority terminates for convenience under Clause 31.1 of the Agreement, the Authority will pay the Contractor’s direct, reasonable, verifiable and unmitigated costs incurred in preparing to deliver the relevant Services being terminated.

  • Payments on Termination Payments to the Advisor pursuant to this Section 13.03 shall be subject to the 2%/25% Guidelines to the extent applicable.
