Supplier’s Obligations on Termination. Unless otherwise specified by Buyer, upon Supplier’s receipt of a notice of termination of this Order, Supplier shall promptly: (a) stop work as directed in the notice; (b) place no further subcontracts/orders related to the terminated portion of this Order; (c) terminate, or if requested by Buyer assign, all subcontracts/orders to the extent they relate to work terminated; (d) deliver all completed work, work in process, designs, drawings, specifications, documentation and material required and/or produced in connection with such work; and (e) return or destroy all Confidential Information as set forth in Section 16(d).
Supplier’s Obligations on Termination. On termination of the Contract, the Supplier shall, in addition to its other obligations under the Contract and at law (a) at the request of the Board, provide the Board with any completed or partially completed Deliverables; (b) provide the Board with a report detailing: (i) the current state of the provision of Deliverables by the Supplier at the date of termination; and (ii) any other information requested by the Board pertaining to the provision of the Deliverables and performance of the Contract; (c) execute such documentation as may be required by the Board to give effect to the termination of the Contract; and (d) comply with any other instructions provided by the Board , including but not limited to instructions for facilitating the transfer of its obligations to another Person. This paragraph shall survive any termination of the Contract.
Supplier’s Obligations on Termination. The Supplier shall, in addition to its other obligations under the Master Agreement and at law: provide the Client with a report detailing: (i) the current state of the provision of Services by the Supplier at the date of termination; and (ii) any other reasonable information requested by the Client pertaining to the provision of the Services and performance of this CSA; execute such documentation as may be required by the Client to give effect to the termination of this CSA; and comply with any reasonable instructions provided by the Client, including but not limited to instructions for facilitating the transfer of the Supplier’s obligation to another person.

On termination of the Contract, the Supplier shall, in addition to its other obligations under the Contract and at law (a) at the request of the Counties, provide the Counties with any completed or partially completed Deliverables; (b) provide the Counties with a report detailing: (i) the current state of the provision of Deliverables by the Supplier at the date of termination; and (ii) any other information requested by the Counties pertaining to the provision of the Deliverables and performance of the Contract; (c) execute such documentation as may be required by the Counties to give effect to the termination of the Contract; and (d) comply with any other instructions provided by the Counties, including but not limited to instructions for facilitating the transfer of its obligations to another Person. This paragraph shall survive any termination of the Contract.

Supplier’s Obligations on Termination. Upon termination of this Agreement where the Supplier is the Defaulting Party the Supplier shall:
(a) Use its best endeavors to grant a license to the Customer or to a new manufacturing source of all Intellectual Property Rights used in the manufacture and supply of the Product pursuant to this Agreement and to effect the transfer to a new manufacturing source by nominating a third party acceptable to the Customer to manufacture and supply products meeting the Specification and satisfying the Customer’s Quality Control Standards or by accepting a nomination by the Customer of such a third party. On approval of the third party by the Customer, the Supplier shall disclose to the third party the know-how and other information necessary to enable the third party to manufacture the Products and make available key personnel as may be reasonably requested by the Customer; and
(b) Release and make available for collection by or on behalf of the Customer all stock (including, without limitation, all stocks of nitro-cellulose and all other raw materials) and work-in-progress relating to this Agreement and all finished Products. The price to be paid by the Customer for such stock, work-in-progress and finished Products will, where such items are in perfect condition, reflect the direct costs incurred by the Supplier in their purchase and subsequent processing save that the relevant prices shall not exceed in aggregate the Supply Prices. Where such items are not in perfect condition, the Customer shall pay to the Supplier such an amount as, in the reasonable opinion of the Customer, equates to their net realisable value.

On termination of the Contract, the Supplier shall, in addition to its other obligations under the Contract and at law: (a) at the request of the District, provide the District with any completed or partially completed Deliverables; (b) provide the District with a report detailing: (i) the current state of the provision of Deliverables by the Supplier at the date of termination; and (ii) any other information requested by the District pertaining to the provision of the Deliverables and performance of the Contract; (c) execute such documentation as may be required by the District to give effect to the termination of the Contract; and (d) comply with any other instructions provided by the District, including, but not limited to, instructions for facilitating the transfer of its obligations to another Person. This paragraph shall survive any termination of the Contract.
Supplier’s Obligations on Termination. On termination of the Contract for any reason, the Supplier shall, in addition to its other obligations under the Contract and at law:
(a) at the request of EDC, provide EDC with any completed or partially completed Deliverables;
(b) at no additional cost, provide EDC with a report detailing: (i) the current state of the provision of Deliverables by the Supplier at the date of termination; and (ii) any other information requested by EDC pertaining to the provision of the Deliverables and performance of the Contract;
(c) execute such documentation as may be required by EDC to give effect to the termination of the Contract;
(d) comply with all obligations with respect to the handling of records and information under the Contract;
(e) immediately return to EDC all Records, files, lists, documents (including electronic material), equipment, software, intellectual property and any other property belonging to EDC, as requested by EDC;
(f) comply with any other instructions provided by EDC, including but not limited to instructions for facilitating the transfer of its obligations to another Person; and
(g) carry out any termination transition services provided for in Schedule 1 – Deliverables, Pricing and Specific Provisions or elsewhere in the Contract. This paragraph shall survive any termination of the Contract.

On termination of the Purchase Agreement, the Supplier shall, in addition to its other obligations under the Purchase Agreement and at law (a) at the request of the Purchaser, provide the Purchaser with any completed or partially completed Deliverables; (b) provide the Purchaser with a report detailing: (i) the current state of the provision of Deliverables by the Supplier at the date of termination; and (ii) any other information requested by the Purchaser pertaining to the provision of the Deliverables and performance of the Purchase Agreement; (c) execute such documentation as may be required by the Purchaser to give effect to the termination of the Purchase Agreement; and (d) comply with any other instructions provided by the Purchaser, including but not limited to instructions for facilitating the transfer of its obligations to another Person. This paragraph shall survive any termination of the Purchase Agreement.
