Board Representative definition

Board Representative has the meaning set forth in Section 4.18.
Board Representative means the Executive Administrator, the Chief Financial Officer of the Board, the Development Fund Manager, the General Counsel and any other member, officer or employee of the Board authorized by resolution of the Board to perform the act or sign the document in question.
Board Representative shall have the meaning set forth in Section 2.3(b).

  • The Company shall ensure that the Board and the Bank Boards shall each have at least four (4) members for so long as Castle Creek shall have the right to appoint a Board Representative.

Board Representative means any one of the persons designated and authorized in writing from time to time by the Board to represent the Board in exercising the Board’s rights and performing the Board’s obligations under this Second Supplemental Ground Lease; the Board Representative shall be the President of the Board of Supervisors for the University of Louisiana System, or his or her designee, the Vice President of Business and Finance, or his or her designee, the President of the University, the Vice President for Finance and Administration of the University or any other representative designated by resolution of the Board, of whom the Corporation has been notified in writing.
Board Representative means the Chairman or the Vice-Chairman of the Transportation Board and any other member, officer or employee of the Transportation Board authorized by resolution of the Transportation Board to perform the act or sign the document in question.
Board Representative means the Comptroller of the Board, or each other person or alternate designated to act for the Board by written certificate furnished to the Bond Registrar, containing the specimen signature of such person and signed on behalf of the Board by the Comptroller of the Board.

Board Representative means Xxxx Xxxxxxxx or such successor as the Investor shall designate as provided herein. Until his appointment as a member of the Boards is effective, the Board Representative shall be entitled to attend Board meetings of the Company and the Bank as a non-voting observer. The appointment of the Board Representative as a director of the Company and the Bank shall be subject to Federal Reserve approval.
