EXPERIENCE AND LICENSES. Use Commercially Reasonable Efforts to perform the services that are the subject matter of this Agreement, and to cause Development Manager’s employees to perform such services with respect to the Venture. Development Manager shall, at all times during the Term with respect to the Venture, use Commercially Reasonable Efforts to (i) hold and maintain all licenses, permits or other certifications necessary to perform its duties under this Agreement which are available at each stage of development, and is in compliance with and shall continue to comply with all Laws, and (ii) hold on behalf of Owner and maintain all licenses, permits or other certifications which relate to any Project or Property, are available at each stage of development, and is in compliance with and shall continue to comply with all Laws.

  • Permits and Licenses The Contractor shall observe and comply with all laws, rules, and regulations affecting services under this Agreement. Subject to the limited licenses granted within this Agreement, we acquire no right, title or interest under this Agreement in or to Customer Data or any Non-Sage Application. 7.4 You grant to us and our Affiliates a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate into the Sage Services any suggestion, enhancement request, recommendation, correction or other feedback provided by you or users relating to the operation of the Sage Services. 7.5 You grant to us a non-exclusive non-transferable right to use your name and logo in our marketing or promotional material during the term of this Agreement for the purpose of identifying you as a customer.

  • Outbound Licenses Part 2.7(d) of the Disclosure Schedule accurately identifies each Contract pursuant to which any Person has been granted any license under, or otherwise has received or acquired any right (whether or not currently exercisable) or interest in, any Seller IP. The Seller is not bound by, and no Seller IP is subject to, any Contract containing any covenant or other provision that in any way limits or restricts the ability of the Seller to use, exploit, assert, or enforce any Seller IP anywhere in the world.
