ACKNOWLEDGEMENT AND PROTECTION OF INTELLECTUAL PROPERTY RIGHTS. 1. Licensee acknowledges that all Intellectual Property Rights in the Licensed Material are the property of the Publisher or duly licensed to the Publisher and that this Licence Agreement does not assign or transfer to the Licensee any right, title or interest therein except for the right to access and use the Licensed Material in accordance with the terms and conditions of this Licence Agreement.
2. For the avoidance of doubt, the Publisher hereby acknowledges that any database rights created by the Licensee or the Institutions as a result of Local Hosting, text mining or data mining of the Licensed Material shall be the property of the Licensee, or the Institution.
ACKNOWLEDGEMENT AND PROTECTION OF INTELLECTUAL PROPERTY RIGHTS. 9.1 The Institution acknowledges that all copyrights, patent rights, trade marks, database rights, trade secrets and other intellectual property rights relating to the Licensed Material are the sole and exclusive property of Publisher or are duly licensed to the Publisher and that this Licence does not assign or transfer to the Institution any right, title or interest therein except for the right to use the Licensed Material in accordance with the terms and conditions of this Licence.
ACKNOWLEDGEMENT AND PROTECTION OF INTELLECTUAL PROPERTY RIGHTS. 10.1. The Licensee acknowledges that all Intellectual Property Rights in the Licensed Work are the sole and exclusive property of the Publisher or are duly licensed to the Publisher and that this Licence does not assign or transfer to the Licensee any right, title or interest therein except for the right to use the Licensed Work in accordance with the terms and conditions of this Licence.
10.2. The Licensee acknowledges and agrees that the Publisher may suspend access to the Licensed Work by the Licensee or an Authorised School in the event of any breach or suspected breach of this Agreement by the Licensee or such Authorised School or an Authorised User at such School (including any suspected or actual infringement the Publisher’s Intellectual Property Rights) until such time as any issue has been determined and resolved. For the avoidance of doubt, only access to the Licensed Work by the institution that is suspected of an infringement will be restricted until the issue has been determined or resolved not the access to all the Authorised Schools represented by the Licensee.
ACKNOWLEDGEMENT AND PROTECTION OF INTELLECTUAL PROPERTY RIGHTS. Subject to Clause 17.2, the Institution acknowledges that all copyright in the Licensed Material are the exclusive property of the Publisher or its licensors and that this Licence does not assign or transfer to the Institution any right, title or interest in such copyright except for the right to access and use the Licensed Material in accordance with the terms and conditions of this Licence. The Publisher hereby acknowledges that any copyright and database rights arising from any computational analysis (including any text mining/data mining) of the Licensed Material referred to in Clause 3.2.10 shall, as between the Institution and Authorised User on the one hand, and the Publisher (and any licensor of the Publisher or other rights holder in the Licensed Materials), on the other, be the property of the relevant Authorised Users or the Institution, as the case may be. For the avoidance of doubt, the Publisher hereby acknowledges that any database rights created by the Institution as a result of exercising any rights in relation to Metadata under Clause 3.1.1 or Mounting the Licensed Material as referred to in Clause 13.4 shall be the property of the Institution.

The Publisher acknowledges that all copyright in the Open Access Articles are the exclusive property of the author(s) and that this Licence does not assign or transfer to the Publisher any right, title or interest in such copyright except for the right to publish the Open Access Articles under the terms and conditions of the Creative Commons licence chosen by the Eligible Author. The Publisher hereby acknowledges that any copyright and database rights arising from any computational analysis (including any text mining/data mining) of the Licensed Material referred to in Clause 3.2.9 shall, as between the Institution and Authorised User on the one hand, and the Publisher (and any licensor of the Publisher or other rights holder in the Licensed Materials), on the other, be the property of the relevant Authorised Users or the Institution, as the case may be. For the avoidance of doubt, the Publisher hereby acknowledges that any database rights created by the Institution as a result of exercising any rights in relation to Metadata under Clause 3.1.1 or Mounting the Licensed Material as referred to in Clause 10.4 shall be the property of the Institution.

10.2 For the avoidance of doubt, the Publisher hereby acknowledges that any Intellectual Property Rights created by a Member as a result of local mounting of the Licensed Material as referred to in Clause 9.7 shall be the property of that Member.
10.3 For the avoidance of doubt, the Publisher hereby acknowledges that any Intellectual Property Rights created by Authorised Users as a result of text mining/data mining of the Licensed Material as referred to in Clause 3.1.7
ACKNOWLEDGEMENT AND PROTECTION OF INTELLECTUAL PROPERTY RIGHTS. 9.1 Except as provided for in Clauses 9.2 and 9.3, the Licensee acknowledges that all copyrights, patent rights, trademarks, database rights, trade secrets and other intellectual property rights relating to the Licensed Material, are the property of the Publisher or duly licensed to the Publisher and that this Licence does not assign or transfer to the Licensee any right, title or interest therein except for the right to use the Licensed Material in accordance with the terms and conditions of this Licence.
9.2 For the avoidance of doubt, the Publisher hereby acknowledges that any database rights created by the Licensee, an Authorised Institution or an Authorised User as a result of textmining/datamining of the Licensed Material as referred to in Clause 3.1.7.9 shall be the property of the Licensee or such Authorised Institution or such Authorised User.
9.3 For the avoidance of doubt, any intellectual property rights in the Metadata and Modifications generated by the Licensee, an Authorised Institution or an Authorised User shall be the property of the Licensee, such Authorised Institution or Authorised User.
