Common use of Failure to Satisfy Conditions Clause in Contracts

Failure to Satisfy Conditions. In the event any of the conditions in Clauses 8.1 or 8.2 has not been satisfied at or before the Closing Date and such condition has not been waived by the Party for the benefit of which such condition has been included, such Party may terminate this Agreement by written notice to the other Party. However, a Party may not terminate this Agreement in such manner after Closing.

Failure to Satisfy Conditions. In the event If any of the conditions condition in Clauses 8.1 Clause 10.2 or 8.2 10.3 has not been satisfied at or before the Closing Date and such condition has not been waived by the Party for the benefit of which such condition has been included, to the extent it is entitled to do so, such Party may terminate this Agreement by written notice to the other Party. However, a Party may not terminate this Agreement in such manner after Closing, and after Closing the remedies otherwise available to it with respect to the failure to satisfy such condition, if any, shall be limited to damages.

In the event any of the conditions in Clauses 8.1 7.1 or 8.2 7.2 has not been satisfied at or before the Closing Date and such condition has not been waived by the Party for the benefit of which such condition has been included, such Party may terminate this Agreement by written notice to the other Party. However, a Party may not terminate this Agreement in such manner after Closing.

Failure to Satisfy Conditions. In the event If any of the conditions in Clauses 8.1 Sections 7.1 or 8.2 7.2 has not been satisfied at or before the Closing Outside Date and such condition has not been waived by the Party for the benefit of which such condition has been included, such Party may terminate this Agreement pursuant to Section 8.1 by written notice to the other Party. However, a Party may not terminate this Agreement in such manner after prior to the Closing.

Failure to Satisfy Conditions. In the event any of the conditions in Clauses 8.1 Clause 9.3 or 8.2 9.4 has not been satisfied at or before the Closing Date and such condition has not been waived by the Party for the benefit of which such condition has been included, such Party may terminate this Agreement by written notice to the other Party. However, a Party may not terminate this Agreement in such manner after Closing, and its remedies thereafter, if any, with respect to the failure to satisfy such condition shall be limited to damages.

In the event If any of the conditions precedent in Clauses 8.1 or 8.2 12.1 and 12.2 has not been satisfied at or before the Closing Date and such condition precedent has not been waived by the Party for the benefit of which such condition precedent has been included, such Party may terminate this Agreement by written notice to the other Party. However, a Party may not terminate this Agreement in such manner after Closing.

However, a Party may not terminate this Agreement in such manner after Closing.

Failure to Satisfy Conditions. In the event any of the conditions in Clauses 8.1 9.02 or 8.2 9.03 has not been satisfied at or before the earlier of the Closing Date or the date for satisfaction of the condition specified therein and such condition has not been waived by the Party for the benefit of which such condition has been includedincluded on or before such date, such Party may terminate this Agreement by written notice to the other Party. However, a Party may not terminate this Agreement in such manner after Closing.

Failure to Satisfy Conditions. In the event If any of the conditions in Clauses 8.1 In Sections 8.01 or 8.2 has 8.02 have not been satisfied at or before the Closing Date and such condition has not been waived by the Party for the benefit of which such condition has been included, such Party may terminate this Agreement pursuant to Section 15.01 by written notice to the other Party. However, a Party may not terminate this Agreement in such manner after Parties prior to the Closing.
