However, if the Stock is not publicly traded at the time the Option is granted under the Plan, "fair market value" shall be deemed to be the fair value of the Stock as determined by the Corporation's Board of Directors or any Compensation Committee thereof (the "Committee"), after taking --------- into consideration all factors which it deems appropriate, including, without limitation, recent sale and offer prices of the Stock in private transactions negotiated at arm's length, if any. The determination by the Board of Directors or the Committee of fair market value shall be conclusive and binding. FAIR MARKET VALUE OF STOCK. (A) If MajorCorp is not Publicly Held, the fair market value of any common stock to be issued in exchange for CPP's Interest, for purposes of any determination referred to in Section 13.6(a) or Section 13.6(b), will equal the product of (1) the percentage of the total common stock of MajorCo represented by such common stock multiplied by (2) the price at which a willing seller would sell, and a willing buyer would buy, 100% of the common stock of MajorCorp, as determined by the First Appraiser and the Second Appraiser designated pursuant to Section 13.6(g)(i) (and, if applicable, by a Third Appraiser selected by such appraisers) in the manner described in Section 11.4 of the Holdings Partnership Agreement, and with the results of the individual appraisals being averaged in the manner described in Section 11.4 of the Holdings Partnership Agreement. The fair market value of such stock as of the closing date of any Transfer of an Interest, for purposes of Section 13.6(e)(ii)(C), shall be the fair market value of such stock as determined above immediately prior to the election pursuant to Section 13.6(a) or Section 13.6(b) with respect to which such Transfer is being made or, if the closing date is more than six months after the applicable date referred to in Section -97- December 12, 1996

FAIR MARKET VALUE OF STOCK. For purposes of this Agreement, the fair market value of Stock on any particular date shall be (i) the closing bid price for the Stock as quoted on the NASDAQ quotation service of the National Association of Securities Dealers, Inc., or (ii) the closing sales price for the Stock as quoted on any national securities exchange, for the immediately preceding day for which such quotations were made, or if price information for the Stock is not quoted on the NASDAQ quotation service or on a national securities exchange, the fair market value of the Stock shall be as determined in good faith in accordance with regulations of the United States Secretary of the Treasury relating to the valuation of stock subject to incentive stock options.

  • Target Fair Market Value The Company agrees that the Target Business that it acquires must have a fair market value equal to at least 80% of the balance in the Trust Account at the time of signing the definitive agreement for the Business Combination with such Target Business (excluding taxes payable and the Deferred Underwriting Commissions).
