Fees and Compensation. No Credit Party shall, and no Credit Party shall permit any of its Subsidiaries to, pay any management, consulting or similar fees to any Affiliate of any Credit Party or to any officer, director or employee of GP, any Credit Party or any Affiliate of any Credit Party except: (a) payment of reasonable compensation to officers and employees for actual services rendered to the Credit Parties and their Subsidiaries; (b) transactions permitted by Section 5.6; and (c) Partnership may reimburse expenses to GP and pay fees to GP in accordance with Section 7.4 of the Partnership Agreement (as in effect on the Closing Date).
