Fees and Expenses; Brokers. Each party to this Agreement shall be responsible for and pay his/her own legal, accounting and other costs and expenses incurred by them in connection with this Agreement and the transactions contemplated thereby. The parties hereby represent to each other that they have not entered into any agreement or incurred any obligation, directly or indirectly, for the payment of any broker's or finder's fee or commission in connection with this Agreement and the transactions contemplated thereby.

Fees and Expenses; Brokers. Except as otherwise expressly provided herein, each of the parties hereto shall defray its own legal and accounting charges and other expenses incident to the execution of this Agreement and the consummation of the transactions contemplated hereby. Purchaser on the one hand and Seller on the other hand each agree to indemnify and hold harmless the other from and against and in respect of any claim for brokerage or other commissions relative to this Agreement, or the transactions contemplated hereby, based in any way on agreements, arrangements or understandings claimed to have been made with any third party. All stock transfer or other similar taxes in connection with the consummation of the transactions contemplated hereby, if any, shall be paid 50% by Seller and 50% by Purchaser.
Fees and Expenses; Brokers. Except as otherwise provided herein, the parties hereto shall bear their own costs and expenses, including attorneys’ fees, incurred in connection herewith and with the transactions contemplated hereby, whether or not the sale of any of the shares of common stock shall be consummated or this Agreement subsequently shall be terminated. Notwithstanding any of the foregoing, expenses will in any event be paid by the party directly incurring such expenses if and to the extent that the payment by another person of such expenses would result in the disqualification of such party as a "regulated investment company" within the meaning of Section 851 of the Code.
