Fees; Scope. 1.1 Standard Support shall be free of charge and include the following: ▪ Evaluating feature requests (Provider will provide new features at its sole discretion). ▪ Assisting Customer in connection with the setup of an account and configuration of the Service. ▪ Verifying reproducible program errors in the Service (“Error”). ▪ Troubleshooting Errors by using reasonable efforts to provide solutions to Errors for which there are not existing known workarounds or patches. 1.2 Standard Support will be provided in English or German language. Other languages may be offered at Provider’s sole discretion (additional fees may apply). 1.3 Unless expressly provided by mutual agreement between Customer and Provider, Standard Support will be provided remotely from Provider’s premises only (i.e., no on- site Standard Support at Customer’s premises). 1.4 Standard Support will be provided during Provider’s normal business hours only (i.e., no weekends and no holidays). 1.5 Customer agrees that Standard Support may also be provided by qualified and duly authorized subcontractors of Provider.

  • Fees, etc On the Initial Borrowing Date, the Borrower shall have paid to the Administrative Agent and each Lender all costs, fees and expenses (including, without limitation, legal fees and expenses) and other compensation contemplated hereby payable to the Administrative Agent or such Lender to the extent then due.

  • Fees; Expenses As consideration for the services provided by the Warrant Agent (the “Services”), the Company shall pay to the Warrant Agent the fees set forth on Schedule 1 hereto (the “Fees”). The Company agrees to pay all Service Fees and Expenses within thirty (30) days following receipt of an invoice from the Warrant Agent. (b) The Company agrees and acknowledges that the Warrant Agent may adjust the Service Fees annually, on or about each anniversary date of this Agreement, by the annual percentage of change in the latest Consumer Price Index of All Urban Consumers United States City Average, as published by the U.S. Department of Labor, Bureau of Labor Statistics. (c) Upon termination of this Agreement for any reason, the Warrant Agent shall assist the Company with the transfer of records of the Company held by the Warrant Agent. The Warrant Agent shall be entitled to reasonable additional compensation and reimbursement of any Expenses for the preparation and delivery of such records to the successor agent or to the Company, and for maintaining records and/or Stock Certificates that are received after the termination of this Agreement (the “Record Transfer Services”).

O) Late submission of any additional documents requested by the consulate at a later stage. All the refund cases would be cleared with in 90 days. To claim refund, the rejection letters (including letter after re-appeal) needs to be produced.

  • Impact Fees Impact Fees or modifications thereto which are lawfully adopted, and imposed by the City and which meet all requirements of the U. S. Constitution, Utah Constitution, law and applicable statutes, including but not limited to Utah Code Xxx. Section 11-36a-101 (2022) et seq.;

  • Utilization Fees For any day on which the aggregate amount of Loans then outstanding exceeds fifty percent (50%) of the Commitments then in effect, or if any Loans remain outstanding after the Commitments have been terminated, then Borrower shall pay to the Administrative Agent for the ratable account of the Lenders in accordance with their Percentages a utilization fee accruing at a rate per annum equal to the Utilization Fee Rate on the aggregate amount of Loans outstanding on such date. Such utilization fee is payable in arrears on the last Business Day of each calendar quarter and on the Termination Date, and if the Commitments are terminated in whole prior to the Termination Date, the fee for the period to but not including the date of such termination shall be paid in whole on the date of such termination.
