Final Mutual Release and Settlement Agreement. This Article VI contains the entire Mutual Release and Settlement Agreement among the Parties with regard to the matters set forth herein and shall be binding upon and inure to the benefit of the successors, agents, and assigns, including any parent, subsidiary, and affiliated entity of each Party. There are no other understandings or agreements, verbal or otherwise, among the Parties in regard to this Mutual Release and Settlement Agreement. The terms of this Mutual Release and Settlement Agreement are contractual and not mere recitals. All modifications to this Mutual Release and Settlement Agreement must be made in writing and signed by each Party to this agreement. Each Party expressly warrants and represents that no promise or agreement which is not expressly stated herein has been made to it in executing this Mutual Release and Settlement Agreement and that it is not relying upon any statement or representation of any other Party or any agent or attorney of any other Party. The Parties represent and agree that upon executing and entering into this Mutual Release and Settlement Agreement, they are not relying upon and have not relied upon any representation, promise, or statement made by anyone that is not recited, contained, or embodied in this Mutual Release and Settlement Agreement. The Parties understand, agree, and expressly assume the risk that any fact not recited, contained, or embodied in this Mutual Release and Settlement Agreement may prove hereafter to be other than, different from, or contrary to the facts now known to the Parties or believed by the Parties to be true, and further agree that this Mutual Release and Settlement Agreement shall be effective in all respects notwithstanding, and shall not be subject to termination, modification, or rescission by reason of any such difference in facts. The Parties understand and agree that this Mutual Release and Settlement Agreement contains the entire and the only agreement among the Parties with respect to the matters described herein, and any oral or written representations, promises, or conditions in connection therewith not incorporated in this Mutual Release and Settlement Agreement shall not be binding upon any Party hereto.
