Financial and Other Matters. (a) The books and records used to prepare financial statements and related information pertaining to each Contributor Subsidiary have been maintained (as applicable) in accordance with GAAP, subject to normal recurring year-end adjustments, which, would not reasonably be expected to have a material impact on the financial position, results of operations, or other financial information of such Contributor Subsidiary.

Financial and Other Matters. (a) Parent has, and as of the Closing Date will have, sufficient cash, borrowing capacity under existing credit facilities which Parent may draw without limitation (other than the delivery of customary certificates), financing committed and/or funds available under other agreements to fund the Purchase Price and to make all other necessary payments of fees and expenses of Parent in connection with the transactions contemplated by this Agreement.

Financial and Other Matters a) - Fees Candidates will continue to pay any required fees, including tuition and research- related fees, to their home university, while they are attached to the partner university. Candidates will be exempted from paying tuition and research-related fees to the partner university.
