Common use of Financial Responsibility for Changes Clause in Contracts

Financial Responsibility for Changes. Without limiting DIR's right of approval under Section 9.6(c), unless otherwise set forth in this Agreement or otherwise expressly approved by DIR, Service Provider shall bear all charges, fees and costs associated with any change desired by Service Provider, including all charges, fees and costs associated with (i) the design, installation, implementation, testing and rollout of such change, (ii) any modification or enhancement to, or substitution for, any impacted process or associated Materials, Equipment, System or Services, (iii) any increase in the cost to DIR or the DIR Customers of operating, maintaining or supporting any impacted process or associated Materials, Equipment, System or Services and (iv) subject to Section 9.6(h), any increase in Resource Unit usage resulting from such change.
