First issue. Before the Issuer reaches its first agreement with any Dealer for the issue and purchase of Notes under this Agreement, each Dealer shall have received, and found satisfactory (in its reasonable opinion), all of the documents and confirmations described in Part 1 of the Initial Documentation List. Any Dealer must notify the Arranger and the Issuer within seven London business days of receipt of the documents and confirmations described in Part 1 of the Initial Documentation List if in its reasonable opinion it considers any document or confirmation to be unsatisfactory and, in the absence of notification, each Dealer shall be deemed to consider the documents and confirmations to be satisfactory.
First issue. The Arrangers shall circulate to each Dealer all of the documents and confirmations described in the Initial Documentation List immediately after those documents and confirmations have been given to the Arrangers by each Issuer and the Guarantor. Before any Issuer and the Guarantor reach their first agreement with any Dealer for the issue and purchase of Notes, that Dealer shall have received, and found satisfactory, in its reasonable opinion, all of the documents and confirmations described in the Initial Documentation List.

Any Dealer must notify Deutsche Bank and the Issuer within seven Frankfurt am Main business days of receipt of the documents and confirmations described in the Documentation List if it considers any to be unsatisfactory.

If any Dealer (other than any Dealer participating in the first issue of Covered Bonds under this Agreement) considers any document or confirmation described in Part 1 of the Initial Documentation List to be unsatisfactory in its reasonable opinion, it must notify the Arrangers and the Issuer within five Canadian Business Days of receipt of such documents and confirmations and, in the absence of notification, each Dealer shall be deemed to consider the documents and confirmations to be satisfactory.

The Dealer and the Arranger must in turn notify the Issuer within seven Business Days (or such shorter period as may be agreed between the Issuer, the Arranger and the Dealer) of receipt by it of the documents and confirmations described in the Initial Documentation List, if it considers any to be unsatisfactory in its reasonable opinion and the reasons therefor. In the absence of such notification, the Arranger and the Dealer shall be deemed to consider such documents and confirmations to be satisfactory.

The Arranger shall provide each Dealer with a copy of each document and confirmation described in the Initial Documentation List promptly after the same have been furnished to it by the Issuer. Any Dealer must notify the Arranger and the Issuer in writing within seven business days of receipt by it of the documents and confirmations described in the Initial Documentation List if it considers any to be unsatisfactory in its reasonable opinion.

Any Dealer (with respect to itself only) may waive the production of any of the documents and confirmations described in the Initial Documentation List.
