For Purchasers of the SKYSPARK SaaS Base License. If you are purchasing the SKYSPARK SaaS Base License, then SKYFOUNDRY hereby grants to you a non- exclusive, nontransferable right to use the registered or unregistered trademarks, service marks, trade names, logos, or other similar items of SKYFOUNDRY (the “SKYFOUNDRY Trademarks”) that SKYFOUNDRY may communicate to you from time to time solely in connection with the marketing, advertising, and promotion of the Software as it may be used in the services provided to customers by you during the term of this Agreement. You agree to use the SKYFOUNDRY Trademarks only in the form and manner as prescribed from time to time by SKYFOUNDRY (including without limitation in any trademark usage and quality control guidelines), and will not use any other trademark or service xxxx in combination with the SKYFOUNDRY Trademarks without the prior consent of SKYFOUNDRY. You agree and acknowledges that the services provided under the SKYFOUNDRY Trademarks shall be of a quality that is consistent with the quality of such services as provided by SKYFOUNDRY and that SKYFOUNDARY has the right to monitor and control the quality of such services provided by you. You agree that SKYFOUNDRY is the sole and exclusive owner of the SKYFOUNDRY Trademarks and you shall not use any SKYFOUNDRY Trademarks in any business, corporate or trade name and shall not directly or indirectly attempt to adopt, use or register any xxxx that is confusingly similar to the SKYFOUNDRY Trademarks, or contest or deny the validity or enforceability of the SKYFOUNDRY Trademarks, or otherwise take any action that could be detrimental to the goodwill associated with the SKYFOUNDRY Trademarks. Any and all goodwill arising from your use of the SKYFOUNDRY Trademarks shall inure solely to the benefit of SKYFOUNDRY.

  • SERS PICK-UP A. For purposes of this Article, total annual salary and salary per pay period for each member shall be the salary otherwise payable under this Agreement, as amended. The total annual salary and salary per pay period of each member shall be payable by the Board in two parts: (1) deferred salary and (2) cash salary. A member’s deferred salary shall be equal to that percentage of said member’s total annual salary or salary per pay period which is required from time to time by the State Employment Retirement System (“SERS”) to be paid as an employee contribution by said member and shall be paid by the Board to SERS on behalf of said member as a “pickup” of the SERS employee contribution otherwise payable by said member. A member’s cash salary shall be equal to said member’s total annual salary or salary per pay period less the amount, subject to applicable payroll deductions, to said member. The Board’s total combined expenditures for members’ total annual salaries otherwise payable under this Agreement, as amended, (including pickup amounts) and its employer contributions to SERS shall not be greater than the amounts it would have paid for those items had this provision not been in effect.

  • Taxes and Fees Imposed on Providing Party But Passed On To Purchasing Party 11.4.1 Taxes and fees imposed on the providing Party, which are permitted or required to be passed on by the providing Party to its customer, shall be borne by the purchasing Party.

  • Available Services Subject to the terms of this agreement, Manager may obtain any of the Available Services from Sprint Spectrum in accordance with the provisions of this Section 2.1. The Available Services offered from time to time and the fees charged for such Available Services will be set forth on the then-current Exhibit 2.1.1 (the "Available Services and Fees Schedule"). If Sprint Spectrum offers any new Available Service, it will deliver a new Exhibit 2.1.1 indicating the new service and the fee for the new service. Manager may select one or more of the categories of Available Services. If Manager selects a particular category of services it must take and pay for all of the services under the category selected; Manager may not select only particular services within that category. If Sprint Spectrum determines to no longer offer an Available Service and the service is not a Selected Service, then Sprint Spectrum may give Manager written notice at any time during the term of this agreement that Sprint Spectrum no longer offers the Available Service.

  • Vendor Encouraging Members to bypass TIPS agreement Encouraging entities to purchase directly from the Vendor or through another agreement, when the Member has requested using the TIPS cooperative Agreement or price, and thereby bypassing the TIPS Agreement is a violation of the terms and conditions of this Agreement and will result in removal of the Vendor from the TIPS Program.

  • Lifeline/Link Up services may be offered only to those subscribers who meet the criteria that BellSouth currently applies to subscribers of these services as set forth in Sections A3 and A4 of the BellSouth General Subscriber Services Tariff.

The Customer will notify the Contractor and H-GAC promptly of any damaged goods and will assist the Contractor in arranging for inspection. The Contractor must file all claims for visible or concealed damage. Unless otherwise stated in the Agreement, deliveries must consist only of new and unused merchandise.

  • Engagement of the TAM Representative Outside of Red Hat Standard Business Hours If you have purchased Premium Red Hat Software Subscriptions, you will receive 24x7 Support for Severity 1 and 2 issues through Red Hat’s 24x7 Production Support teams and not necessarily from your assigned TAM representative. Red Hat’s 24x7 Production Support team will be responsible for addressing issues, but will consult with your TAM representative, as your TAM representative is available, for advice and to gain a better understanding of your infrastructure, environment and specific needs. If you have purchased multiple TAM Service Subscriptions in each of Red Hat’s primary Support Regions, you will receive the benefit of extended TAM Service coverage hours, but you should follow the same process and contact the Red Hat 24x7 support numbers at xxxxx://xxxxxx.xxxxxx.xxx/support/contact/technicalSupport.html.
