FOREIGN TERRITORIES. Retailer is prohibited from selling Product or Merchandise outside of the United States of America without obtaining Lip Ink's prior written approval, which may be granted in Lip Ink's sole discretion. Prior to determining whether to permit Retailer to retail Product or Merchandise in a foreign territory, Lip Ink shall require Retailer, at Retailer's sole expense, to provide Lip Ink with detailed information regarding the proposed retail location, retail means, country and/or territory tax and legal requirements and protections, and projected sales analysis. Retailer shall be solely responsible, at Retailer's sole expense, for obtaining all necessary approvals to retail in a foreign territory, and for paying any and all duties, shipping, taxes, and other costs. Retailer expressly acknowledges and agrees that Retailer shall protect Lip Ink's image, patents, proprietary information, and any and all other rights, at all times in, and beyond, their sales territories Lip Ink International will not provide any regulatory documents other than MSDS sheets and ingredients lists.

FOREIGN TERRITORIES. During the term of this Agreement, FORBES hereby grants to PHARMAVITE a right of first negotiation with respect to the licensing and/or supply of the Licensed Ingredient for use as a component of Licensed Products to be marketed, distributed, offered for sale and/or sold in the Foreign Territories so that PHARMAVITE may opt to obtain an exclusive with respect to such Territories if available. 10.5.1 If FORBES is considering entering into any new license and/or supply agreement with any third party with respect to the use of the Licensed Ingredient as a component of Licensed Products to be marked, distributed, offered for sale and/or sold in any of the Foreign Territories, FORBES shall provide PHARMAVITE with written notice of same. 020306Pharmavite 21 10.5.2 PHARMAVITE shall, within ***** (term omitted) of receipt of such notice from FORBES, inform FORBES of whether it wishes to act on the right of first negotiation. If PHARMAVITE provides notice to FORBES that it does wish to act on the right of first negotiation, Section 10.5.3 shall apply. If PHARMAVITE either does not provide such notice or indicates that it does not wish to act on the right of first negotiation, FORBES shall be free to grant a non-exclusive license with respect to and/or supply the Licensed Ingredient to any third party for use as a component of Licensed Products to be marketed, distributed, offered for sale and/or sold in such Foreign Territory.

  • Country and Territory Names The country and territory names (including their IDN variants, where applicable) contained in the following internationally recognized lists shall be withheld from registration or allocated to Registry Operator at All Levels: the short form (in English) of all country and territory names contained on the ISO 3166-1 list, as updated from time to time, including the European Union, which is exceptionally reserved on the ISO 3166-1 list, and its scope extended in August 1999 to any application needing to represent the name European Union <xxxx://xxx.xxx.xxx/iso/support/country_codes/iso_3166_code_lists/iso-3166-1_decoding_table.htm>; the United Nations Group of Experts on Geographical Names, Technical Reference Manual for the Standardization of Geographical Names, Part III Names of Countries of the World; and the list of United Nations member states in 6 official United Nations languages prepared by the Working Group on Country Names of the United Nations Conference on the Standardization of Geographical Names; provided, that the reservation of specific country and territory names (including their IDN variants according to the registry operator IDN registration policy, where applicable) may be released to the extent that Registry Operator reaches agreement with the applicable government(s). Registry Operator must not activate such names in the DNS; provided, that Registry Operator may propose the release of these reservations, subject to review by ICANN’s Governmental Advisory Committee and approval by ICANN. Upon conclusion of Registry Operator’s designation as operator of the registry for the TLD, all such names that remain withheld from registration or allocated to Registry Operator shall be transferred as specified by ICANN. Registry Operator may self-allocate and renew such names without use of an ICANN accredited registrar, which will not be considered Transactions for purposes of Section 6.1 of the Agreement.

  • Territorial application This Agreement shall apply, on the one hand, to the territories in which the Treaty establishing the European Community is applied, and under the conditions laid down in that Treaty and, on the other hand, to the territory of the United States.

  • Combination Products If a LICENSED PRODUCT is sold to any third party in combination with other products, devices, components or materials that are capable of being sold separately and are not subject to royalties hereunder (“OTHER PRODUCTS,” with the combination of products being referred to as “COMBINATION PRODUCTS” and the Other Product and Licensed Product in such Combination Product being referred to as the “COMPONENTS”), the NET SALES of such LICENSED PRODUCT included in such COMBINATION PRODUCT shall be calculated by multiplying the NET SALES of the COMBINATION PRODUCT by the fraction A/(A+B), where A is the average NET SALES price of such LICENSED PRODUCT in the relevant country, as sold separately, and B is the total average NET SALES price of all OTHER PRODUCTS in the COMBINATION PRODUCT in the relevant country, as sold separately. If, in any country, any COMPONENT is not sold separately, NET SALES for royalty determination shall be determined by the formula [C / (C+D)], where C is the aggregate average fully absorbed cost of the Licensed Product components during the prior Royalty Period and D is the aggregate average fully absorbed cost of the other essential functional components during the prior Royalty Period, with such costs being determined in accordance with generally accepted accounting principles. To the extent that any SUBLICENSE INCOME relates to a COMBINATION PRODUCT or is otherwise calculated based on the value of one or more licenses or intellectual property rights held by the COMPANY, an AFFILIATE or SUBLICENSEE, COMPANY shall determine in good faith and report to THE PARTIES the share of such payments reasonably attributable to COMPANY’s or such AFFILIATE’s sublicense of the rights granted hereunder, based upon their relative importance and proprietary protection, which portion shall be the SUBLICENSE INCOME. THE PARTIES shall have the right to dispute such sharing determination in accordance with the dispute provisions of the AGREEMENT.
