(a) a copy of the Programme Agreement;
(b) a copy of the proposed New Mortgage Sale Agreement;
(c) a copy of all other documents that the Security Trustee, the Bond Trustee, the LLP and/or the Cash Manager has required us to enter into in order to accede to the Programme; and
(d) a copy of current versions of all other documents delivered under Appendix 1 to the Programme Agreement as we have requested, and have found them to our satisfaction. We have enclosed a copy of the New Mortgage Sale Agreement, which has been executed by us, along with a copy of each of the other documents referenced in paragraph (c) above executed as required. We confirm that all of the conditions precedent to our appointment as Seller, as set out in Clause 13 of the Programme Agreement and Clause [] of the New Mortgage Sale Agreement have been satisfied.
