Forum and Jurisdiction. This Agreement shall be construed and interpreted in accordance with the laws of the State of California.
Forum and Jurisdiction. This Agreement was entered into in the State of California, and its validity, construction, interpretation and legal effect shall be governed by the laws and judicial decisions of the State of California applicable to contracts entered into between residents of that state and performed entirely within the State of California and by applicable federal law, and the choice-of-law provisions of California law shall not be applied to substitute the law of any other State or nation. The parties expressly agree that any action arising out of or relating to this Agreement shall be filed and maintained only in the courts of the State of California for the County of Los Angeles, or the United States District Court for the Central District of California. The parties hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action. Notwithstanding the foregoing, each party agrees that in the event that a party to this Agreement becomes engaged in litigation against a third party in any other court in the United States, and such litigation reasonably requires the determination of the rights and obligations of the parties hereto under this Agreement (including any right of indemnification under Section 16 above), the other party hereto will submit to the personal jurisdiction of the court in which such action is maintained for purposes of such determination, in which event the submission to personal jurisdiction shall apply to determination of any other claims between the parties hereto which may properly be brought as part of such litigation.

The Company represents and warrants that it is not entitled to immunity from judicial proceedings and, for purposes of any action, suit or other proceeding in respect of, or arising out of or in connection with, this Agreement or any course of conduct, course of dealing, statements or actions of the Company, the Agent or the Lenders related thereto, the Company hereby submits and consents to the jurisdiction of the courts of the State of New York and of the United States District Court for the Southern District of New York, and the Company agrees that any such action, suit or proceeding may be brought by the Agent or the Lenders in the Supreme Court of the State of New York, New York County, or in the United States District Court for the Southern District of New York, and the service of process may be made upon the Company by mailing a copy of the summons and any complaint to the Company by registered mail, at the address specified in Section 12.4. The Company hereby waives and agrees not to assert, by way of motion or otherwise, in any action, suit or proceeding, any claim that it is not personally subject to the jurisdiction of the above-named courts, that the action is brought in an inconvenient forum or that the venue of the action is improper. The Agent and the Lenders, nevertheless, may serve, process or commence any such action, suit or proceeding in such other jurisdiction(s), and in such other manner as may be permitted by applicable law. The methods of service of process specified in this paragraph may be used in the alternative or together as the Agent and the Lenders may see fit.

Forum and Jurisdiction. The forum for the arbitration shall be the Borough of Manhattan in New York, or if the parties to the dispute so agree any other location in the federal Southern District of New York. Claims relating to Intellectual Property and claims for injunctive relief shall be brought in the state or federal courts sitting in New York, New York (i.e., Supreme Court, New York County, and the United States District Court for the Southern District of New York (the “Courts”). The parties submit to the jurisdiction of the Courts with respect to special claims and waive all claims of forum non conveniens or similar doctrines.
