Further Exit arrangements. 11.5.1 No Exit voting or lock-up agreements No Shareholder shall enter into or become subject to any lock-up or voting or other agreement that restricts that Shareholder, or any of its nominated or co- nominated directors, from voting in favor of a Binding Offer which is submitted to the Board for its approval as Selected Offer, or put forward to the Shareholders for its approval in accordance with clause 11.2(viii) above. If the above undertaking is infringed by a Shareholder, such lock-up, voting or other agreement will not be effective vis-à-vis the Company and the remaining Shareholders, and the voting rights restricted under such lock-up, voting or other agreement will be cancelled.
