General Partner Powers. By the General Partner, without the consent or approval of any Limited Partner, if such amendment or waiver (i) is not, in the reasonable opinion of the General Partner, adverse to the Limited Partners, (ii) adds to the representations, duties or obligations of the General Partner, (iii) reflects any change of information contained in the Schedule of Partners or any other schedules hereto in accordance with this Agreement, (iv) corrects a typographical error, corrects any manifest error, corrects or supplements any provision which may be inconsistent with any other provision; (v) amends, waives, deletes from or adds to any provision of the Agreement that the General Partner deems appropriate in light of changes in laws, rules or regulations applicable to the Fund, including any such amendments or waivers required by a federal, state or foreign securities commission or regulator (including the U.S. Securities and Exchange Commission, U.S. Commodity Futures Trading Association and U.S. Financial Industry Regulatory Authority), or (vi) amends, waives, deletes from or adds to any provision of this Agreement that the General Partner determines appropriate to reflect any changes negotiated with Additional Limited Partners in connection with their admission to the Fund as Additional Limited Partners.

General Partner Powers. The General Partners shall have all powers permitted by the Act for a general partner of a California limited partnership, in order to pursue the purposes and conduct the business of the Partnership. Such powers shall include, but not be limited to, the right to contract with the General Partners on behalf of the Partnership and to reimburse the General Partners for expenses (not including capital contributions) incurred by it in connection with the business of the Partnership before or after the date of this Agreement of Limited Partnership.
