Good Costs. The total ··proceeds" of the Governmental Lender Note (i.e., the issue price of the Governmental Lender Note plus investment earnings during construction of the Project) are estimated to be no more than $7.700,000. Due to the draw-dovm structure of the Governmental Lender Note and the Borrower's expectation that all of the Sale Proceeds \Viii be spent on Project costs immediately upon each draw and receipt of funds. no investment earnings are expected. At least 97% of such proceeds will be allocable to costs of acquiring land, constructing or developing property of a character subject to the allowance for depreciation, which land or property constitutes qualified residential rental project facilities (as described in Sections 3.3 and 3.4 below) and which costs were paid or incurred no more than 60 days prior to the Inducement Date ("Good Costs"). Costs of execution and delivery of the Governmental Lender Note is not Good Costs. All of the reasonably expected costs listed in EXHIBIT E. totaling $9,462,505 are Good Costs and do not include the cost of land or other property or services which the Borrower paid to any Related Person. Contingency items listed in EXHIBIT F rellcct the Borrov .. cr·s expectation that there will be actual Good Costs paid with or allocated to proceeds in the amount shown. The Borrower acknowledges that the listed contingency items arc not costs of the Project until a specific Project cost is paid. and the Born)\vcr covenants that each such actual cost \\ill be reviewed and analyzed for the portion of such cost. if any. that is a Good Cost. based on the nature ofthc actual cost in question. All of the contingency will ultimately be allocated to Good Costs. In addition to the costs listed in EXHIBIT E, "proceeds'' of the Governmental Lender Note may be used, up to a maximum amount of three percent (3%). to pay lor certain costs that may not be chargeable to the capital account of qualifying facilities that comprise the Project, such as costs of executing and delivering the Governmental Lender Note (although in no event may more than 2% of the proceeds of the Governmental Lender Note be used to pay costs of execution and delivery), interest and credit enhancement expenses on the Governmental Lender Note that accrue with respect to completed portions of the Project (generally, portions or the Project with respect to which a final certificate of occupancy has been issued).   • Supplies 1. Supplies are defined as consumable items necessary to carry out the services under this Contract including medical supplies, drugs, janitorial supplies, office supplies, patient educational supplies, software, and any items of tangible personal property other than those defined as equipment above. 2. Tangible personal property includes controlled assets, including firearms, regardless of the acquisition cost, and the following assets with an acquisition cost of $500 or more, but less than $5,000, which includes desktop and laptop computers (including notebooks, tablets and similar devices), non-portable printers and copiers, emergency management equipment, communication devices and systems, medical and laboratory equipment, and media equipment are also considered Supplies. 3. Prior approval by the System Agency of the purchase of Controlled Assets is not required, but such purchases must be reported on the Grantees Property Inventory Form.

  • Repair Concessionaire shall, prior to the commencement of the Concession Operation under this Agreement, provide to Department a type-written concession equipment maintenance plan for the State-owned equipment located on the Concession Premises, together with a schedule for preventative maintenance and a report on maintenance completion and equipment condition. Failure to comply with this preventative maintenance schedule shall result in Concessionaire being responsible for all repairs and/or replacement of equipment. The review and Department inspection of the Concession Premises and its equipment will be conducted during routine inspection of the Concession Premises and as a part of the Mandatory Compliance and Performance Evaluation Meetings.

  • Plant and Equipment The plants, structures and equipment of the Company are structurally sound with no known defects and are in good operating condition and repair and are adequate for the uses to which they are being put; and none of such plants, structures or equipment are in need of maintenance or repairs except for ordinary, routine maintenance and repairs which are not material in nature or cost. Except as set forth in Schedule 3.16, the Company has not received notification that it is in violation of any applicable building, zoning, anti-pollution, health or other law, ordinance or regulation in respect of its plants or structures or their operations and no such violation exists.

  • Personnel Equipment and Material Engineer shall furnish and maintain, at its own expense, quarters for the performance of all Engineering Services, and adequate and sufficient personnel and equipment to perform the Engineering Services as required. All employees of Engineer shall have such knowledge and experience as will enable them to perform the duties assigned to them. Any employee of Engineer who, in the reasonable opinion of County, is incompetent or whose conduct becomes detrimental to the Engineering Services shall immediately be removed from association with the Project when so instructed by County. Engineer certifies that it presently has adequate qualified personnel in its employment for performance of the Engineering Services required under this Contract, or will obtain such personnel from sources other than County. Engineer may not change the Project Manager without prior written consent of County.
