Governing Law and Jury Waiver. (a) THIS AGREEMENT SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF DELAWARE, WITHOUT REFERENCE TO ITS CONFLICT OF LAW PROVISIONS, AND THE OBLIGATIONS, RIGHTS AND REMEDIES OF THE PARTIES HEREUNDER SHALL BE DETERMINED IN ACCORDANCE WITH SUCH LAWS; AND
Governing Law and Jury Waiver. This Agreement shall be governed and conformed in accordance with the laws of the State of New York without regard to the State’s conflict of laws provisions. If Executive or any other Releasor breaches any provision of this Agreement, Executive and Company affirm that Company may institute an action or proceeding: (a) to specifically enforce any term or terms of this Agreement; (b) to recover damages resulting from such breach in an amount to be determined by a court of competent jurisdiction; (c) to terminate Company’s obligations to provide future monetary payments and benefits under this Agreement; and/or (d) to seek any other legal or equitable relief permitted by law, including but not limited to injunctive relief. Company and Executive agree that any action or proceeding relating to this Agreement or to the enforcement of this Agreement will only be brought in a court located in Suffolk County in the State of New York, and that any such action or proceeding will be heard without a jury or an advisory jury. Executive and Company waive their respective rights to bring any such action or proceeding in any other jurisdiction, or to have any such action or proceeding heard before a jury or an advisory jury.
Governing Law and Jury Waiver. This Agreement shall be construed, interpreted and enforced in accordance with the laws of the State of Florida without regard to principles of conflicts of laws thereunder. The parties agree to irrevocably waive any right to trial by jury in such an action.
Governing Law and Jury Waiver. This Agreement shall be deemed to have been made in the State of Florida, shall take effect as an instrument under seal within the State of Florida, and the validity, interpretation and performance of this Agreement shall be governed by, and construed in accordance with, the internal law of the State of Florida, without giving effect to conflict of law principles. Both parties further acknowledge that the last act necessary to render this Agreement enforceable is its execution by the Company in the State of Florida, and that the Agreement thereafter shall be maintained in the State of Florida. Both parties agree that any action, demand, claim or counterclaim relating to the terms and provisions of this Agreement, or to its breach, shall be commenced in the State of Florida in a court of competent jurisdiction. Both parties further acknowledge that venue shall exclusively lie in the State of Florida. BOTH PARTIES FURTHER AGREE THAT ANY SUCH ACTION, DEMAND, CLAIM OR COUNTERCLAIM SHALL BE RESOLVED BY A JUDGE ALONE, AND BOTH PARTIES HEREBY WAIVE AND FOREVER RENOUNCE THE RIGHT TO A TRIAL BEFORE A CIVIL JURY.

In the event the Employee or Employer breaches any provision of this Agreement and General Release, Employee and Employer affirm that either may institute an action to specifically enforce any term or terms of this Agreement and General Release, and the prevailing party shall be entitled to recover from the other attorney’s fees incurred in any such action. Employee and Employer agree that any action or proceeding relating to the enforcement of this Agreement will only be brought in a court located in the State of New York, New York County, and that any such action or proceeding will be heard without a jury or an advisory jury. Employee and Employer waive their respective rights to bring any such action, or proceeding in any other jurisdiction, or to have any such action or proceeding heard before a jury or an advisory jury. The court will have the authority to award attorneys’ fees to a prevailing party (including the costs associated with any fee application).
Governing Law and Jury Waiver. A. This Agreement and all Service Attachments shall be governed and construed in accordance with the laws of the State of Ohio, without reference to its conflicts of law principles. Both parties agree to submit to the jurisdiction of the courts of the state of Ohio; and further agree that jurisdiction of any action between them shall be exclusively vested in the state courts of Ohio. Both parties further agree that the venue of any action between them shall be exclusively vested in: (i) the state courts located in Franklin County, Ohio, if the action is brought by Dublin; or (ii) the state courts located in the county where Client maintains its principal office, if the action is brought by Client. Both parties specifically waive any other choice of venue.
Governing Law and Jury Waiver. This Agreement shall be governed by, construed and enforced in accordance with the laws of the State of Delaware, USA. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PARTIES AGREE TO A BENCH TRIAL AND THAT THERE SHALL BE NO JURY IN ANY DISPUTES.
Governing Law and Jury Waiver. This Agreement and any claim, controversy or dispute arising under or related to this Agreement, the relationship of the Parties, and/or the interpretation or enforcement of the rights and duties of the Parties shall be enforced, governed and construed in all respects (whether in contract or in tort) in accordance with the federal Law of the United States, if and to the extent such Law is applicable, and otherwise in accordance with the Laws of the State of [ ] applicable to contracts made and to be performed entirely within such State. To the extent permitted by applicable Law, each of the parties hereby unconditionally waives trial by jury in any civil legal action or proceeding relating to this Agreement or the Purchase contemplated hereby.
Governing Law and Jury Waiver. This Agreement, and its validity, construction and effect, shall be governed by and enforced in accordance with the internal laws of the State of Minnesota (without reference to the conflicts of laws provisions therein). Merchant and Consultant waive their respective rights to trial by jury of any cause of action, claim, counterclaim or cross-complaint in any action, proceeding and/or hearing brought by either Consultant against Merchant or Merchant against Consultant on any matter whatsoever arising out of, or in any way connected with, this Agreement, the relationship between Merchant and Consultant, any claim of injury or damage or the enforcement of any remedy under any law, statute or regulation, emergency or otherwise, now or hereafter in effect.
