Governing Law and Place of Jurisdiction. (1) This Agreement shall be governed by, and construed in accordance with, German law. (2) Any action or other legal proceedings ("Proceedings") arising out of or in connection with this Agreement shall be brought exclusively in the courts in Frankfurt am Main.
