GOVERNING LAW, JURISDICTION AND VENUE; JURY WAIVER. THIS AGREEMENT SHALL BE CONSTRUED IN ACCORDANCE WITH, AND BE GOVERNED BY THE LAWS OF, THE STATE OF OHIO, WITHOUT GIVING EFFECT TO THE CONFLICTS OF LAW OF SUCH STATE. THE PARTIES HERETO IRREVOCABLY CONSENT TO THE EXCLUSIVE JURISDICTION OF THE COURTS OF THE STATE OF OHIO AND THE COURTS OF THE UNITED STATES FOR THE SOUTHERN DISTRICT AND EACH PARTY BY ITS EXECUTION OF THIS AGREEMENT IRREVOCABLY (I) SUBMITS TO SUCH JURISDICTION AND (II) CONSENTS TO THE SERVICE OF ANY PROCESS OR PLEADINGS BY FIRST CLASS U.S. MAIL, POSTAGE PREPAID AND RETURN RECEIPT REQUESTED, OR BY ANY OTHER MEANS FORM TIME TO TIME AUTHORIZED BY THE LAWS OF SUCH JURISDICTION. FURTHERMORE, EACH PARTY HERETO IRREVOCABLY WAIVES ANY RIGHT THAT IT MAY HAVE TO TRIAL BY JURY IN ANY ACTION, PROCEEDING OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE TRANSACTIONS CONTEMPLATED HEREBY.

GOVERNING LAW, JURISDICTION AND VENUE; JURY WAIVER. This agreement shall be construed in accordance with, and be governed by the laws of, the State of Ohio, without giving effect to the conflicts of law of such state. The parties hereto irrevocably consent to the exclusive jurisdiction of the courts of the State of Ohio and the courts of the united states for the southern district and each party by its execution of this agreement irrevocably (i) submits to such jurisdiction and (ii) consents to the service of any process or pleadings by first class U.S. mail, postage prepaid and return receipt requested, or by any other means form time to time authorized by the laws of such jurisdiction. Furthermore, each party hereto irrevocably waives any right that it may have to trial by jury in any action, proceeding or counterclaim arising out of or relating to this agreement or the transactions contemplated hereby.

Any action or proceeding by either Party against the other Party, including, without limitation, to enforce this Agreement or otherwise relating to or arising out of Employee’s employment with the Company (or the termination thereof), shall be brought only in any state or federal court located in or closest to Broward County, Florida. The Parties hereby irrevocably submit to the exclusive jurisdiction of such courts and waive the defense of inconvenient forum to the maintenance of any such action or proceeding in such venue. GOVERNING LAW, JURISDICTION AND VENUE; JURY WAIVER. This Agreement and any claim or dispute arising out of or under this Agreement shall be governed by and construed in accordance with the laws of the state of New York without regard to principles of conflict of laws. The parties therefore submit to the exclusive jurisdiction and venue of the state and federal courts located in New York for any action arising out of, connected with, related to or incidental to the relationship between the parties in connection with this Agreement.
