Each of the parties hereto hereby submits to the jurisdiction of the U.S. federal and New York state courts located in the Borough of Manhattan, City and State of New York for purposes of all legal actions and proceedings instituted in connection with the Notes and this Indenture, and waives any objection which it may now have or hereafter have to the laying of venue of any such action or proceeding and any right to which it may be entitled on account of place of residence or domicile. Each of the parties hereto expressly waives the right to the jurisdiction of any other courts by reason of their present or future domicile or by any other reason. The Company has appointed C T Corporation, 000 Xxxxxx Xxxxxx, Xxx Xxxx, XX 00000, as the Company’s authorized agent upon which process may be served in any such action.

By its execution and delivery of this Supplemental Indenture, each of Flora and JBS Finance (i) acknowledges that it hereby designates and appoints National Corporate Research, Ltd., currently located at 000 Xxxx 00xx Xxxxxx, Xxxxx 000, Xxx Xxxx, XX 00000, as its authorized agent upon which process may be served in any suit, action or proceeding with respect to, arising out of, or relating to, this Supplemental Indenture, the Flora Guarantee (as to Flora) or the JBS Finance Obligations (as to JBS Finance), that may be instituted in any Federal or state court in the State of New York, The City of New York, the Borough of Manhattan, or brought under Federal or state securities laws or brought by the Trustee (whether in its individual capacity or in its capacity as Trustee hereunder), and acknowledges that National Corporate Research, Ltd. has accepted such designation, (ii) submits to the non-exclusive jurisdiction of any such court in any such suit, action or proceeding, and (iii) agrees that service of process upon National Corporate Research, Ltd. shall be deemed in every respect effective service of process upon Flora and JBS Finance, as the case may be, in any such suit, action or proceeding.
