Government Consents and Filings. No consent, approval, order or authorization of, or registration, qualification, designation, declaration or filing with, any federal, state or local governmental authority is required on the part of Holdings in connection with the consummation of the transactions contemplated by the 2023 Warrant, except for (i) filings pursuant to Regulation D of the Securities Act of 1933, as amended (the “Securities Act”), and applicable state securities laws, which have been made or will be made in a timely manner.

Assuming the accuracy of the representations made by the Purchasers in Section 4 of this Agreement, no consent, approval, order or authorization of, or registration, qualification, designation, declaration or filing with, any federal, state or local governmental authority is required on the part of the Company in connection with the consummation of the transactions contemplated by this Agreement, except for filings pursuant to Regulation D of the Securities Act of 1933, as amended (the “Securities Act”), and applicable state securities laws, which have been made or will be made in a timely manner.

Assuming the accuracy of the representations made by the Investors in this Agreement, no consent, approval, order or authorization of, or registration, qualification, designation, declaration or filing with, any federal, state or local governmental authority is required on the part of the Company in connection with the consummation of the transactions contemplated by this Agreement and the other Transaction Documents, except for filings pursuant to Regulation D of the Securities Act of 1933, other applicable securities laws, and applicable state securities laws, which have been made or will be made in a timely manner.

No material consent, approval or authorization of, or designation, declaration or filing with, any Governmental Authority or other Person on the part of Seller is required in connection with the execution or delivery by Seller of this Agreement or any of the other Operative Agreements to which it is or is specified to be a party or the consummation by Seller of the transactions contemplated hereby or thereby, other than (i) the premerger notification required by HSR and expiration or early termination of the HSR waiting period and (ii) post-merger notification to the German Antitrust Authority and expiration or early termination of the applicable time period.

Other than as set forth in Schedule 7.4, no material consent, approval or authorization of, or designation, declaration or filing with, any Governmental Authority or other Person on the part of Buyer or Guarantor is required in connection with the execution or delivery by Buyer or Guarantor of this Agreement or any of the other Operative Agreements or the consummation by Buyer or Guarantor of the transactions contemplated hereby or thereby, other than the (i) premerger notification required by HSR and expiration or early termination of the HSR waiting period and (ii) post-merger notification to the German Antitrust Authority and expiration or early termination of the applicable time period.

Assuming the accuracy of the representations made by the Investors in this Agreement, no consent, approval, order or authorization of, or registration, qualification, designation, declaration or filing with, any federal, state or local governmental authority is required on the part of the Company in connection with the consummation of the transactions contemplated by this Agreement, except for (i) filings pursuant to Regulation D of the Securities Act of 1933, as amended (the “Securities Act”), and applicable state securities laws, which have been made or will be made in a timely manner, and (ii) the filing of an amendment to the Company’s articles of incorporation to increase the authorized shares of common stock of the Company (“Common Stock”) in accordance with the terms and conditions of the Notes and this Agreement.

Except as set forth in Section 2.6 of the Disclosure Schedule, no consent, approval, order, notice or authorization of, or registration, qualification, designation, declaration or filing with, any Government Authority, including the Oregon Department of Consumer and Business Services and the Department of Justice, is required on the part of the Company in connection with the consummation of the Transactions, except for (a) the filing of the Certificate, which will have been filed as of the Closing, (b) filings pursuant to Regulation D of the Securities Act, and Applicable Laws, (c) filing pursuant to the HSR Act, all of which have been made or will be made in a timely manner, (d) filings made pursuant to Section 4.6, and (e) filings for a change of ownership for the Subsidiary engaged in the pharmacy business.

No consent, approval, order or authorization of, or registration, qualification, designation, declaration or filing with, any federal, state or local governmental authority is required on the part of the Investor in connection with the consummation of the transactions contemplated by this Agreement.
